Authority Closing Documents. Upon the due performance by Developer of all its prior obligations with respect to a Phase, as set forth herein, Developer and/or the Owner Entity, as appropriate, and the Authority will execute at Closing for such Rental Phase such documents as shall be necessary and appropriate to the implementation of the Mixed-Finance Proposal with respect to such Phase, which shall collectively be known as “Authority Closing Documents” for such Phase. Authority Closing Documents shall conform to the requirements normally imposed by public entities in undertaking participation in projects similar to the Development (subject to particular commitments made in this Agreement) and shall be in form and content satisfactory to Developer, the Authority, the Developer’s counsel, the Authority’s counsel, the Investor, the Investor’s counsel, other lenders’ counsel, bond counsel, the purchasers and the underwriters of any bonds, HUD, and/or any other requisite funding source. The Developer will have the right to require evidence from any Authority Funding Body that all Authority Funds are committed and available to the Authority from the Authority Funding Body under terms and on a schedule consistent with the Authority Closing Documents (and, if required by the Authority Funding Agreements, that the Authority Funding Body has approved the Authority Closing Documents).
