Authority; Successors and Assigns. The execution of this Lease has been authorized by all necessary action on the part of Tenant and Landlord. Each individual who has executed this Lease on behalf of Tenant or Landlord in his or her respective capacities has the right, power, legal capacity and authority to execute, deliver and perform this Lease on behalf of Tenant or Landlord. Subject to the provisions concerning assignment, all of the terms and provisions of this Lease shall be binding upon and inure to the benefit of the heirs, successors, executors, administrators and assigns of the parties hereto.

Unless the parties give notice of a change, each of the individuals signing this contract for a party individually warrants and promises for the benefit of the other party that the person signing the contract has good and sufficient authority to bind the party for whom the individual signs. This contract is binding upon the parties' heirs, successors and assigns.

The Parties acknowledge that the Authority may be terminated pursuant to the provision of Section 5514 of the Parking Authority Law, as in effect on the date of this Agreement, and that upon the transfer of the property of the Authority to the City pursuant to said Section 5514 or otherwise by operation of Law, the City shall succeed to all of the rights and assume all of the obligations of the Authority under this Agreement.

The covenants and conditions herein contained shall, subject to the Lease's provision as to assignments and subletting, apply to and bind the heirs, successors, executors, administrators, and assigns of the respective parties hereto. If the Agreements are executed by more than one party as Client, their obligation shall be joint and several.

Xxxxxx, Landlord and Lender covenant and agree that the persons signing on their behalf, respectively, have the full power, authority and authorization to execute this Memorandum of Lease, without the necessity of any consents, authorizations or approvals, or if such consents, authorizations or approvals are required, they have been obtained prior to the execution hereof. All provisions of this Memorandum of Lease shall run with the land, and bind and inure to the benefit of the parties and their successors and assigns. Vitria represents and warrants that the person executing this Agreement on behalf of Vitria has the authority to act on Vitria's behalf and to bind Vitria to this Agreement. This Agreement may not be assigned without the consent of each of the parties hereto; provided, that, the provisions of this Agreement shall inure to the benefit of, and shall be binding upon, Vitria and its successors and assigns, including any successor entity by merger, consolidation or transfer of all or substantially all of Vitria's assets; and Xx. Xxxxx, Xx. Xxxxx, and their personal representatives, heirs and legatees.
