Authorization to Enter this Agreement i. The undersigned counsel to GTL represents that he is fully authorized to conduct settlement negotiations on behalf of GTL and further covenants and represents that he has obtained the consent and authorization of GTL and is fully authorized to enter into and to execute this Settlement Agreement on behalf of GTL and on behalf of the Released Parties.
ii. Class Counsel represent that they are fully authorized to conduct settlement negotiations on behalf of the Class Plaintiffs and the Settlement Class and are fully authorized to enter into and execute the Settlement Agreement on behalf of the Settlement Class. Class Counsel further represent that they have obtained the consent and authorization of each of the Class Plaintiffs to execute this Agreement on their behalf.
Authorization to Enter this Agreement. The undersigned representative of GE represents and warrants that he or she is fully authorized to enter into and to execute this Agreement on behalf of GE. Settlement Class Counsel represent and warrant that they are fully authorized to conduct settlement negotiations with GE Counsel on behalf of the Settlement Class Representative and to enter into, and to execute, this Agreement on behalf of the Settlement Class Representatives and the Settlement Class, subject to Settlement Court approval pursuant to Fed. R. Civ. P. 23(e).
Authorization to Enter this Agreement a. The undersigned representatives of GTL covenant and represent that each such representative is fully authorized to enter into and to execute this Agreement on behalf of the Released Parties.
b. Plaintiffs’ Counsel represents that they are fully authorized to conduct settlement negotiations with counsel for GTL on behalf of the Class Plaintiffs and the Class and are fully authorized to enter into and execute the Agreement on behalf of the Class.
c. The Parties further acknowledge that this Agreement represents the entire agreement by and between them and that each makes no other representation or warranty upon which the other can rely other than as stated herein.
Authorization to Enter this Agreement. The undersigned representative of Xxxxx- Xxxxxx represents and warrants that he or she is fully authorized to enter into and to execute this Agreement on behalf of Xxxxx-Xxxxxx. Class Counsel represent and warrant that they are fully authorized to conduct settlement negotiations with Xxxxx-Xxxxxx Counsel on behalf of Plaintiff and to enter into, and to execute, this Agreement on behalf of Plaintiff and the Settlement Class, subject to Court approval.
Authorization to Enter this Agreement. The undersigned representative of Defendant represents and warrants that he or she is fully authorized to enter into and to execute this Agreement on behalf of Defendant. Class Counsel represent and warrant that they are fully authorized to conduct settlement negotiations with Defendant’s Counsel on behalf of Plaintiff and to enter into, and to execute, this Agreement on behalf of Plaintiff and the Settlement Class, subject to Settlement Court approval.
Authorization to Enter this Agreement a. The undersigned representatives of USALCO covenant and represent that each such representative is fully authorized to enter into and to execute this Agreement.
b. Interim IPP Lead Counsel represents that they are fully authorized to conduct settlement negotiations with defense counsel on behalf of the Indirect Purchaser Class Plaintiffs and putative Indirect Purchaser Settlement Class and have been authorized by Indirect Purchaser Class Plaintiffs to execute this Agreement.
c. The Settling Parties further acknowledge that this Agreement represents the entire agreement by and between them and that each makes no other representation and warranty upon which the other can rely other than as stated herein.
Authorization to Enter this Agreement. The undersigned representative of St. Xxxxxxx represents and warrants that he or she is fully authorized to enter into and to execute this Agreement on behalf of St. Xxxxxxx. Class Counsel represent and warrant that they are fully authorized to conduct settlement negotiations with St. Xxxxxxx’ Counsel on behalf of Plaintiffs and to enter into, and to execute, this Agreement on behalf of Plaintiffs and the Settlement Class, subject to Settlement Court approval.
Authorization to Enter this Agreement a. The undersigned representatives of Kemira covenant and represent that each such representative is fully authorized to enter into and to execute this Agreement on behalf of the Kemira Settling Parties.
b. Interim DPP Lead Counsel represents that he is fully authorized to conduct settlement negotiations with defense counsel on behalf of the Direct Purchaser Class Plaintiffs and putative Direct Purchaser Settlement Class and upon Final Approval will be fully authorized to enter into and execute the Agreement on behalf of the Direct Purchaser Settlement Class.
c. The Parties further acknowledge that this Agreement represents the entire agreement by and between them and that each makes no other representation or warranty upon which the other can rely other than as stated herein.
Authorization to Enter this Agreement a. The undersigned representative of Defendants covenants and represents that he is fully authorized to enter into and to execute this Agreement on behalf of Defendants.
b. Class Counsel represent that they are fully authorized to conduct settlement negotiations with defense counsel on behalf of the Plaintiffs and Classes and that they have been authorized by Plaintiffs to execute this Settlement Agreement.

Authorization to Enter this Agreement a. The undersigned representative of Progressive Security covenants and represents that he is fully authorized to enter into and to execute this Agreement on behalf of Progressive Security.
b. Class Counsel represent that they are fully authorized to conduct settlement negotiations with defense counsel on behalf of the Plaintiffs and Class and that they have been authorized by Plaintiffs to execute this Settlement Agreement.
c. The Parties further acknowledge that this Agreement represents the entire agreement by and between them and that each makes no other representation or warranty upon which the other can rely other than as stated herein.
