Court Approval definition

Court Approval means unconditional approval by the Court that does not include a provision stating that it is subject to any further consent by any third party other than the Israeli Ministry of Communications, of the transactions contemplated by this Agreement (without any revisions, modifications or qualifications) as a creditors arrangement and, to the extent required, as a shareholders arrangement pursuant to Section 350 of the Companies Law, including (i) the sale and issuance of the Adjustment Subscribed Shares (if any), the Purchaser Subscribed Shares, the Additional Purchaser Subscribed Shares (if any) and the Election Subscribed Shares (if any), (ii) the adoption of the Company Debt Modifications, (iii) the sale and issuance of the Seller Subscribed Shares and the Seller Subscribed Debentures and the Series D Debentures, (iv) the sale of the Purchased Shares, and (v) a waiver and exemption, with respect to any act or omission taken by any of the Relevant Parties in connection with this Agreement and the transaction contemplated hereby.
Court Approval means the entry of the Judgment.

Examples of Court Approval in a sentence

  • All Parties will use their reasonable best efforts to obtain Final Court Approval.

  • None of the representations or warranties set forth in this Settlement Agreement shall survive after the Approval Date or if Final Court Approval becomes legally impossible.

  • If at any time Final Court Approval of the Settlement shall become legally impossible (including by reason of the denial of Final Court Approval by a court with no possibility of further appeal or proceedings that could result in Final Court Approval), the Settlement Agreement shall be null and void and have no further effect as to the Parties except as set forth in this Subparagraph 2(b) and other provisions not specifically provided for herein as being subject to or conditioned upon Final Court Approval.

More Definitions of Court Approval

Court Approval means the Court’s entry of the Order and Final Judgment substantially in the form of Exhibit C hereto.
Court Approval has the meaning specified in the recitals hereto.
Court Approval means both the issuance of the Approval and Vesting Order by the Court approving the sale of the Assets, and such Approval and Vesting Order having become a Final Order;

Court Approval shall include, in addition to the approval of the Merger, the approval of the Cash Distribution. The provision of Sections 5.2(b) and 5.4 regarding the coordination and cooperation of the Parent and the Company and the use of all reasonable efforts shall apply to the obtaining of the approval of the court for the Cash Distribution. The Company shall deduct and withhold from the Cash Distribution such amounts as may be required to be deducted or withheld therefrom under the Code, the Ordinance, or under any provision of state, local, Israeli or other foreign law or any other applicable Legal Requirement.
Court Approval means the entry by the First Judicial District Court in the Action of a final order of approval, in the form of an order to be agreed upon by the Parties after notice to the Settlement Class Members and a final approval hearing, signifying final approval of this Settlement Agreement in accordance with Rule 1-023(E) NMRA.
Court Approval shall have the meaning set forth in Section 6.2(a).
