Authorized Affiliate. An authorized affiliate is any: • Subscriber affiliated with a Participant, OR • Unlicensed Assistant who performs actions on behalf of or with the authority of the Participant employed by: o the Participant’s brokerage firm, o the Participant, o a Subscriber affiliated with the Participant, or o a group which can include the Participant and/or Subscribers. Business days are weekdays (Mondays through Fridays) except weekdays that are: • federal holidays, OR • US Postal Service holidays, OR • Louisiana state holidays.
Authorized Affiliate. 1. Organization shall designate in writing to UMHS a physician who will act as the Authorized Affiliate for purposes of correspondence with UMHS.
2. Authorized Affiliate will remain responsible for compliance with the terms of this Agreement and will be responsible for notifying promptly UMHS PO of any changes in Organization’s Workforce who have or require access to EHI (e.g., if an individual is no longer employed by Organization.)
3. Should the Authorized Affiliate terminate his/her affiliation with Organization, Organization must notify UMHS thereof and identify a new Authorized Affiliate promptly.
Authorized Affiliate any of Client’s Affiliate(s) which is permitted to use the Services pursuant to the Agreement between Client and Anacle, but has not signed its own Order Form with Anacle and is not a “Client” as defined under this DPA.
Authorized Affiliate. OpenPlay’s obligations set out in this DPA shall also extend to Authorized Affiliates, subject to the following conditions: (a) Customer must communicate any additional Processing instructions from its Authorized Affiliates directly to OpenPlay; (b) Customer shall be responsible for Authorized Affiliates’ compliance with this DPA and all acts and/or omissions by an Authorized Affiliate with respect to Customer’s obligations in this DPA shall be considered the acts and/or omissions of Customer; and (c) Authorized Affiliates shall not bring a claim directly against OpenPlay. If an Authorized Affiliate seeks to assert a legal demand, action, suit, claim, proceeding or otherwise against OpenPlay (“Authorized Affiliate Claim”): (i) Customer must bring such Authorized Affiliate Claim directly against OpenPlay on behalf of such Authorized Affiliate, unless Data Protection Laws require the Authorized Affiliate be a party to such claim; and (ii) all Authorized Affiliate Claims shall be considered claims made by Customer and shall be subject to any liability restrictions set out in the Agreement, including any aggregate limitation of liability.
