Availability of Books and Records; Return of Books and Records. All of the books and records referred to in Section 4.1 (which shall include an executed copy of this Agreement, the Certificate of Formation, and any amendments thereto) shall at all times be maintained at the principal office of the Company or such other location as the Managing Member shall reasonably approve (which other location, upon such approval, shall be communicated to all of the Members), and shall be open to the inspection and examination of the Members or their representatives during reasonable business hours upon reasonable prior notice to the Managing Member.

Availability of Books and Records; Return of Books and Records. All of the books and records referred to in Section 5.1 (which shall include an executed copy of this Agreement and the Certificate, and any amendments thereto), shall at all times be maintained at the principal office of the Company or such other location as the Managing Members shall reasonably approve (which other location, upon such approval, shall be communicated to all of the Members), and upon reasonable notice to GHGP, shall be open to the inspection and examination of the Members or their representatives during reasonable business hours. If GHGP has been divested of its Administrative Rights pursuant to Section 4.9(b) or has voluntarily ceased to manage or administer the day-to-day business of the Company as contemplated by Section 3.1, Section 3.2 and Section 4.1 (or if GHGP shall no longer be a Member), GHGP shall deliver immediately to Whitehall Street or Whitehall Employee Fund or to such Person as may be designated in writing by Whitehall Street or Whitehall Employee Fund) copies of all documents, files, books, papers, computer files, records and accounts relating to the Property, the Company Assets or the Company that are in the possession of GHGP, GKH or any of its Affiliates.
Availability of Books and Records; Return of Books and Records. All of the books and records referred to in Section 5.1 (which will include an executed copy of this Agreement, the Certificate of Formation, and any amendments thereto) will at all times be maintained at the principal office of the Company or such other location as the Manager will reasonably approve (which other location, upon such approval, will be communicated to all of the Members), and will be open to the inspection and examination of the Members or their representatives during reasonable business hours upon reasonable prior notice to the Manager. Each Member shall have the right to request an audit of the books and records of the Company and its Subsidiaries by an independent nationally recognized accounting firm that is not being employed, in whole or in part, on a contingency basis. All costs of such audit shall be borne by the requesting Member unless the audit determines that the expenses of the Company have been overstated or the income of the Company understated, in each case inclusive of the income and expenses of the Subsidiaries, by more than five percent (5%), in which case the cost of the audit shall be borne by the Company or, if attributable to the fraud, gross negligence or willful misconduct of the Manager, by the Manager. Any dispute between the Members or Manager with regard to the audit findings shall be resolved in accordance with the provisions of Section 14.6 hereof.

  • Location of Books and Records The location where Seller keeps its books and records, including all computer tapes and records relating to the Purchased Mortgage Loans and the related Repurchase Assets is its chief executive office.

  • Inspection of Books and Records The books and records of the Custodian directly related to the Fund shall be open to inspection and audit at reasonable times by officers and representatives of the Fund and auditors employed by the Fund at its own expense and with prior written notice to the Custodian, and by the appropriate employees of the Securities and Exchange Commission.

  • Retention of Books and Records Each party to this Agreement shall retain or cause to be retained (and shall cause each of their Affiliates to retain) all Tax Returns and all books, records, schedules, work papers, and other documents relating thereto, until the later of (a) the date seven (7) years from the close of the applicable Tax Period, (b) the expiration of all applicable statutes of limitations (including any waivers or extensions thereof) and (c) the expiration of any retention period required by law (e.g., depreciation or inventory records) or pursuant to any record retention agreement. As stated above, a Member shall have the right, during ordinary business hours, to inspect and copy the Company documents listed above at the Member’s expense. But, the Member must give seven (7) days’ notice to the Manager of such Member’s intent to inspect and/or copy the documents, and may only inspect and copy such Company documents for a purpose reasonably related to the Member’s Interest in the Company as approved by the Manager. The Company may impose a reasonable charge, limited to the costs of labor and material, for copies of records furnished. To the extent allowed by law, the Manager shall honor requests of Members to keep their contact information confidential.

  • Financial Books and Records All books of account shall, at all times, be maintained in the principal office of the Company or at such other location as specified by the Member.

In the event Borrower and Bank schedule an audit more than ten (10) days in advance, and Borrower cancels or seeks to or reschedules the audit with less than ten (10) days written notice to Bank, then (without limiting any of Bank's rights or remedies) Borrower shall pay Bank a fee of One Thousand Dollars ($1,000.00) plus any out-of-pocket expenses incurred by Bank to compensate Bank for the anticipated costs and expenses of the cancellation or rescheduling.

  • Maintenance of Books and Records Ultimus shall maintain and keep current the accounts, books, records and other documents relating to the Trust’s financial and portfolio transactions as may be required by the rules and regulations of the Securities and Exchange Commission (the “SEC”) adopted under Section 31(a) of the 1940 Act. Ultimus shall cause the subject records of the Trust to be maintained and preserved pursuant to the requirements of the 1940 Act.

  • Books and Records Reports (a) The Trustees shall keep a certified copy or duplicate original of this Trust Agreement on file at the office of the Trust and the office of the Administrator available for inspection at all reasonable times during its usual business hours by any Holder. The Trustees shall keep proper books of record and account for all the transactions under this Trust Agreement at the office of the Trust and the office of the Administrator, and such books and records shall be open to inspection by any Holder at all reasonable times during usual business hours. The Trustees shall retain all books and records in compliance with Section 31 of the Investment Company Act and the rules and regulations thereunder.
