Availability of the Portal. 3.1 We will try to provide access to the Portal at all times but, due to the nature of the internet, we will not be liable for any disruption to access to the Portal or for its satisfactory functioning as a result of anything occurring outside of our control. 3.2 Subject to clause 3.3, we reserve the right to: 3.2.1 withdraw or amend the Portal; 3.2.2 temporarily or permanently restrict access to some or all areas of the Portal. 3.3 We, will, where practicable, provide reasonable advance notice of any withdrawal of or changes to the Portal, but where it is not practicable to give such notice we reserve the right to change any aspect of any part of the Portal and the way in which the Portal is provided, at any time, at our sole discretion and without prior notice. 3.4 We may vary the Terms occasionally and shall notify you of such changes in a timely manner where practicable. The Employer’s continued use of the Portal following its receipt of such notification will be deemed to be acceptance of any variation to the Terms. 3.5 We will try to solve problems affecting the Portal as quickly as we can. 3.6 We reserve the right to disable any Authorised User at any time, if in our reasonable opinion an Authorised User has failed to comply with any of the Terms.

Availability of the Portal. The "Basics" e-learning portal is accessible via the Internet. The proALPHA Academy warrants a 99% availability of the portal per year. Demarcation points are the input or output router at the data center on which proALPHA operates the "Basics" e- learning portal. At these demarcation points, the responsibility for errors and/or failures shall pass from proALPHA. proAL- PHA shall not be responsible for errors and/or failures outside of the data center operated by proALPHA.

  • Availability of Services CBT agrees not to discontinue or refuse to provide any service provided or required hereunder other than in accordance with the terms of this Agreement, or unless required by the Commission.

  • Availability of Service We will use reasonable efforts to make the Service available for your use on a continuous basis. The Service may be unavailable for short periods of time for regular or emergency system maintenance. We will endeavor to have our scheduled maintenance occur during non-peak hours. In addition, accessibility to the Service may be interrupted because of conditions beyond our control, including outages in Internet, cellular or other communications availability. We will use diligent efforts to re-establish the Services as promptly as possible. We do not promise the Service will always be available for your use. We may elect to discontinue this Service at any time. If we choose to discontinue the Service, we will provide you with reasonable notice in advance of that fact. We reserve the right at all times to take actions to protect our systems and information, including denial of access to users of the Service.

  • Service Availability You understand that Service availability is at all times conditioned upon the corresponding operation and availability of the communication systems used in communicating your instructions and requests to the Credit Union. We will not be liable or have any responsibility of any kind for any loss or damage thereby incurred by you in the event of any failure or interruption of such communication systems or services resulting from the act or omission of any third party, or from any other cause not reasonably within the control of the Credit Union.

  • Availability of Rule 144 The Purchaser shall not be obligated to register shares of DocuNet Common Stock held by the Seller at any time when the resale provisions of Rule 144(k) (or any similar or successor Seller provision) promulgated under the Securities Act are available to the Seller.

  • Availability of Records Consultant shall maintain the records supporting this billing for not less than three years following completion of the work under this Agreement.   • Availability of Funds The County may terminate this Agreement or a portion of the services referenced in the Attachments and Exhibits based upon unavailability of Federal, State, or County funds, by providing written notice to Contractor as soon as is reasonably possible after the County learns of said unavailability of outside funding.
