AVAILABILITY OF WEBSITE. Subject to the terms and conditions of this Agreement and our policies, we shall use commercially reasonable efforts to attempt to provide this Site on 24/7 basis. You acknowledge and agree that from time to time this Site may be inaccessible for any reason including, but not limited to, periodic maintenance, repairs or replacements that we undertake from time to time, or other causes beyond our control including, but not limited to, interruption or failure of telecommunication or digital transmission links or other failures. You acknowledge and agree that we have no control over the availability of this Site on a continuous or uninterrupted basis, and that we assume no liability to you or any other party with regard thereto.

AVAILABILITY OF WEBSITE. Subscriber recognises that the traffic of data through the Internet may cause delays during the download of information from the Website and accordingly, it shall not hold the Company liable for delays that are ordinary in the course of Internet use. Subscriber further acknowledges and accepts that the Website will not be available on a continual twenty-four hour basis due to such delays, or delays caused by the Company's upgrading, modification, or standard maintenance of the Website, or by issues which may from time-to-time affect the servers used by the Company, which Subscriber acknowledges are outwith the Company’s control.

Notwithstanding the foregoing, Fidelity is not responsible for the inability of Customer or an End User Customer to access the Website due to difficulties arising from or caused by problems or complications beyond the reasonable control of Fidelity. AVAILABILITY OF WEBSITE. Customer understands and acknowledges that Company must conduct maintenance on the Website and that such maintenance may require that the Website be unavailable for periods of time. Company will endeavor to conduct maintenance outside of normal business hours, but it may be necessary for the Company to conduct maintenance during business hours. Customer also understands and acknowledges that availability of the Website is dependent on an infrastructure network which includes, among other things, servers, and periodically, due to natural disasters, malfunctions and other events outside of Company’s control, this network may be offline or unavailable.
AVAILABILITY OF WEBSITE. Unless otherwise indicated on Schedule A hereto, the Website shall be accessible to third parties via the Internet twenty-four (24) hours a day, seven (7) days a week, except for scheduled maintenance and required repairs, and except for any loss or interruption of Hosting Services due to causes beyond the control of Host or which are not reasonably foreseeable by Host, including, but not limited to, interruption or failure of telecommunication or digital transmission links and Internet slow-downs or failures. In the event of any loss or interruption of Hosting Services, Client’s sole and exclusive remedy and Host’s sole and exclusive liability for any loss or interruption of Hosting Services shall be as follows: for loss or interruption of Hosting Services which is due to (i) causes other than scheduled maintenance and required repairs; (ii) causes beyond the control of Host; or (iii) causes which are not reasonably foreseeable by Host, including, but not limited to, interruption or failure of telecommunication or digital transmission links and Internet slow-downs or failures, which loss or interruption of Hosting Services exceeds a continual period of twenty-four (24) hours, Client shall receive a credit against future Hosting Services equal to a pro rata portion of Hosting Services fees for the period of downtime.
AVAILABILITY OF WEBSITE. Neptune warrants and represents that the Website shall be fully and continuously available to internet users (i) 99.8% from 6 a.m. to 10 p.m., Monday through Sunday, and (ii) 95% from 10 p.m. to 6 a.m., Monday through Sunday for scheduled maintenance periods which are expected to last no longer than one (1) hour. Scheduled maintenance periods which Neptune anticipates will require longer than one (1) hour, shall require prior written approval of Customer, such approval not to be unreasonably withheld. Major outages (more than one (1) hour) shall not exceed more than three events within one year period.
