Available Verification Services. Upon receipt of a written request from Preferred Beneficiary, DSI and Preferred Beneficiary may enter into a separate proposal agreement (“Statement of Work”) pursuant to which DSI will agree, upon certain terms and conditions, to inspect the Deposit Materials consistent with one or several of the levels of verification described in the attached Technical Verification Options. Depositor consents to DSI’s performance of any level(s) of verification described in the attached Technical Verification Options. Depositor shall reasonably cooperate with DSI by providing its facilities, computer, software systems, and technical support personal for verification; however, it is understood that DSI will make reasonable efforts not to create undue interference with Depositor’s personnel, work or workplace. Depositor shall provide such cooperation under Level I and Level II of the attached Technical Verification Options free of charge. Depositor shall also provide assistance under Level III free of charge for up to five (5) hours a week not to exceed an aggregate of 20 hours. Thereafter, Preferred Beneficiary agrees to compensate Depositor for services to assist DSI with its verification services at an hourly charge of $75. If a verification is elected after the Deposit Materials have been delivered to DSI, then only DSI, or, at DSI’s election, an independent contractor or company selected by DSI, may perform the verification.

Upon written request from Licensor, Fort Xxxx will issue to Licensor a copy of any written technical verification report rendered in connection with such engagement. If Fort Xxxx and Licensee enter into such Technical Verification Agreement, Licensor shall reasonably cooperate with Fort Xxxx by providing its facilities, computer systems, and technical and support personnel for technical verification whenever reasonably necessary. If requested by Licensee, Licensor shall permit one employee of Licensee to be present at Licensor's facility during any such verification of the Deposit Materials.

Upon receipt of a written request from Beneficiary, IMIPM, Beneficiary, and Depositor may enter into a separate agreement (“Verification Agreement”) pursuant to which IMIPM will agree, upon certain terms and conditions as set forth therein, to inspect the Deposit Materials consistent with one or several of the levels of verification described in the attached Technical Verification Options. Depositor consents to IMIPM’s performance of any level(s) of verification as described in the Verification Agreement. Depositor shall reasonably cooperate with IMIPM by providing its facilities, computer software systems, and technical and support personnel for verification whenever reasonably necessary as described in the Verification Agreement. If a Verification Agreement is entered into among the parties after the Deposit Materials have been delivered to IMIPM, then only IMIPM, or at IMIPM’s election, an independent contractor or company selected by IMIPM may perform the verification. IMIPM is solely responsible for the actions of any such independent contractor or company as if IMIPM had performed the verification services itself. IMIPM shall ensure that each such company or independent contractor complies with all terms and conditions of this Agreement even though not a party to it.

If a verification is elected after the Deposit Materials have been delivered to DSI, then only DSI, or at DSI’s election, an independent contractor or company selected by DSI, may perform the verification; provided, that any such independent contractor or company: (i) is approved in advance in writing by Depositor, such approval not to be * * * Confidential treatment has been requested for portions of this exhibit. Available Verification Services a. DSI shall perform an initial verification ("Initial Verification") of the Deposit Materials upon the initial deposit and for each update. An Initial Verification determines, in different levels of detail, the accuracy, completeness, sufficiency and quality of the Deposit Materials. An Initial Verification is defined as follows: DSI will cause a technically qualified DSI employee to evaluate the Deposit Materials in order to identify (a) the hardware and software configurations reasonably necessary to maintain the Deposit Materials; (b) the hardware and software configurations reasonably necessary to compile the Deposit Materials; and (c) the compilation instructions. DSI will then prepare and deliver to Axeda and EFI a report describing the information so identified. It shall be the responsibility of Axeda, and not DSI, to ensure that the Deposit Materials contain the information so identified in DSI's report, as well as any other information that may be required in the License Agreement.
b. Upon receipt of a written request from EFI, DSI and EFI may enter into a separate proposal agreement pursuant to which DSI will agree, upon certain terms and conditions, to inspect the Deposit Materials for the purpose of verifying its accuracy, completeness, sufficiency and quality ("Verification Proposal Agreement"). Axeda shall reasonably cooperate with DSI by providing its facilities, computer software systems, and technical and support personnel for verification whenever reasonably necessary. If a verification is elected after the Deposit Materials have been delivered to DSI, then only DSI, or at DSI's election, an independent contractor or company selected by DSI, may perform the verification. EFI shall bear the commercially reasonable costs of each such verification performed as specified in [*] CERTAIN INFORMATION ON THIS PAGE THAT IS MARKED BY "[*]" HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION. Upon written request from Phoenix, Fort Knox xxxl issue to Phoenix a copy of any written technical verification report rendered in connection with such engagement. If Fort Knox xxx Licensee enter into such Technical Verification Agreement, Phoenix shall reasonably cooperate with Fort Knox xx providing its facilities, computer systems, and technical and support personnel for technical verification whenever reasonably necessary. If requested by any Licensee, Phoenix shall permit one employee of such Licensee to be present at Phoenix's facility during any such verification of the Deposit Materials.
