Technical Verification. Beneficiary reserves the option to request SourceFile to verify the Source Material for completeness and accuracy. SourceFile may elect to perform the verification at its site or at the Depositors site. Depositor agrees to cooperate with SourceFile in the verification process by providing its facilities and computer systems and by permitting SourceFile and at least one employee of Beneficiary to be present during the verification of Source Material.
Technical Verification. 7.1. Upon the Source Code being deposited with SourceFile, SourceFile shall perform those tests in accordance with its Standard Technical Verification Service from time to time and shall provide a copy of the test report to the parties to this Agreement.
7.2. Beneficiary shall be entitled to require that SourceFile carry out a Full Verification. Any reasonable charges and expenses incurred by SourceFile in carrying out a Full Verification will be paid by the Beneficiary.
7.3. Subject to the provisions of Clauses 7.1 and 7.2, SourceFile shall bear no obligation or responsibility to any person, firm, company or entity whatsoever to determine the existence, relevance, completeness, accuracy, effectiveness or any other aspect of the Source Material.

Escrow Agent may elect to perform the verification at its site or at the Depositor's site. Depositor agrees to cooperate with Escrow Agent in the verification process by providing its facilities and computer systems and by permitting Escrow Agent and at least one employee of Beneficiary to be present during the verification of Source Material.

The S-BSS Technical Specifications for each Functionality Release and all interfaces with the TerreStar Network Segments shall be verified at each satellite gateway operational facility [***]. This verification shall begin after site installation is complete and a TRR is conducted. Tests shall include [***] shall include verification of critical and relevant technical parameters. If the Contractor elects to perform portions of the Technical Verification Tests without using the in orbit satellite, those test shall be specifically mentioned in the test plan and a strong justification provided. The Recipient shall: (a) not later than six months after the Effective Date, appoint independent verification agencies under terms of reference acceptable to the Association to carry out the verification of compliance of DLIs/DLRs 1, 2, 3, 4 and 8 which are set forth in the table in Section IV.A.2 of this Schedule; and (b) cause said independent verification agencies to, not later than thirty (30) calendar days after the verification of compliance of said DLIs/DLRs has been completed, prepare and furnish to the Recipient and the Bank, a report on the results of said verification of compliance process of such scope and in such detail as the Association shall reasonably request.

Technical Verification. 7.1 Upon the Source Code being deposited with SourceFile, SourceFile shall from time to time perform those tests in accordance with its advertised SCORE Program, SCORE being an acronym for “Source Code Observation Review and Evaluation.” SourceFile shall provide a copy of the SCORE test report to the parties to this Agreement.
7.2 Beneficiary shall be entitled to require that SourceFile carry out a full technical verification for the sole purpose of verifying that the Source Material matches the items identified by Depositor in the packing list. Any reasonable charges and expenses incurred by SourceFile in carrying out a full verification will be paid by the Beneficiary.
7.3 Subject to the provision of Paragraphs 7.1 and 7.2, SourceFile shall bear no obligation or responsibility to any person, firm, company or entity whatsoever to determine the existence, relevance, completeness, accuracy, effectiveness or any other aspect of the Source Material.

Technical Verification. SCE and/or Toshiba reserves the option to hire a third party mutually agreed upon by such party and Rambus to verify the Escrowed Materials for completeness and accuracy. Any such third party shall be subject to a confidentiality agreement, reasonably acceptable to Rambus, concerning the Escrowed Materials. Rambus agrees to cooperate with any such third party in the verification process by providing its facilities and computer system and by permitting at least one employee of SCE and/or Toshiba to be present during the verification of the Escrowed Materials. No more than one such verification, however, may occur in any twelve (12) month period, whether requested by SCE, Toshiba, or jointly by SCE and Toshiba.
