Avoidance of Liens. Seller will not directly or indirectly allow any Lien on or with respect to the Site or any interest therein arising from or relating to the construction, ownership or operation of the Solar Facility by the Seller.

Avoidance of Liens. In the performance of the work to be done by Concessionaire under ARTICLE V hereof, and in the performance of any alterations made by Concessionaire under Paragraph 9 hereinabove, Concessionaire shall keep the Premises and all other property of the Authority free and clear of any mechanic's or materialmen's liens of Concessionaire's contractor or material suppliers, and Concessionaire shall indemnify the Authority and hold it harmless against any such liens or any claims of lien of Concessionaire's contractors or material suppliers.
Avoidance of Liens. CONTRACTOR shall not allow any liens, claims, security interests or other encumbrances to attach to Products, any accounts receivable or general intangibles derived from or arising in connection with any Products (other than Contractor Fees payable to CONTRACTOR), any cash or non-cash proceeds or products of any of the foregoing, and any other Collateral (defined below) that are or may be in, or as a result of, Contractor's possession; and if any of the same should attach to any such property, CONTRACTOR shall, at its expense, secure the release of all such liens, claims, security interests and other encumbrances as soon as reasonably possible, but in no event later than (a) thirty (30) days after CONTRACTOR has or acquires knowledge thereof or (b) fifteen (15) days after notice thereof from DECORA, whichever period of (a) or (b) ends earlier.
Avoidance of Liens. Borrower will take all reasonable steps to forestall any lien claims against: (1) the Property, any part thereof, or any right or interest appurtenant thereto; (2) any personal property and fixtures located or used in connection with the Property and owned by Borrower; and/or (3) the Loan Proceeds. Upon demand by Lender, Borrower will make such demand or claims upon laborers, materialmen, subcontractors, or other persons who have furnished or claimed to have furnished labor, services or materials in connection with Construction as Lender may reasonably require. However, nothing in this Agreement requires Borrower to pay any claim for labor, services or materials that Borrower in good faith disputes and that Borrower, at its own expense, is currently and diligently contesting; provided, however, that if required by Lender, Borrower will, after the filing of any claim of lien that is disputed or contested by Borrower and prior to any subsequent disbursement or advance of the Construction Loan, obtain and record a surety bond sufficient to release said claim of lien.

Thereafter, the Collateral Agent may await direction by an Act of Required Secured Parties and will act, or decline to act, as directed by an Act of Required Secured Parties, in the exercise and enforcement of the Collateral Agent’s interests, rights, powers and remedies in respect of the Collateral or under the Security Documents or applicable law and, following the initiation of such exercise of remedies, the Collateral Agent will act, or decline to act, with respect to the manner of such exercise of remedies as directed by an Act of Required Secured Parties; provided, however, that, prior to the Discharge of First Lien Obligations, upon expiration of the Second Lien Standstill Period, the Collateral Agent shall exercise or decline to exercise enforcement rights, powers and remedies under the Second Lien Security Documents as directed by the Required Second Lien Debtholders and as provided in Section 2.5 hereof unless the First Lien Secured Parties or a First Lien Representative shall have caused the Collateral Agent to commence and diligently pursue the exercise of rights and remedies with respect to all or any material portion of the Collateral; provided, further, however, that, after the Discharge of First Lien Obligations but prior to the Discharge of Second Lien Obligations, upon expiration of the Third Lien Standstill Period, the Collateral Agent shall exercise or decline to exercise enforcement rights, powers and remedies under the Third Lien Security Documents as directed by the Required Third Lien Debtholders and as provided in Section 2.5 hereof unless the Second Lien Secured Parties or the Second Lien Administrative Agent shall have caused the Collateral Agent to commence and diligently pursue the exercise of rights and remedies with respect to all or any material portion of the Collateral. Unless it has been directed to the contrary by an Act of Required Secured Parties, the Collateral Agent in any event may (but will not be obligated to) take or refrain from taking such action with respect to any default under any Secured Debt Document as it may deem advisable and in the best interest of the Secured Parties.

  • Waiver of Liens To the maximum extent permitted by law, Contractor waives, and shall require its suppliers and subcontractors of any tier to waive, all liens and claims, and the right to file and enforce or otherwise assert any liens and claims, against GRTC’s facilities or any other GRTC property (real or personal) in connection with the Goods delivered and Services performed hereunder.

  • Priority of Liens (a) Notwithstanding (i) the date, time, method, manner, or order of grant, attachment, or perfection of, or any defect or deficiency in, or failure to perfect, any Liens granted to the ABL Secured Parties in respect of all or any portion of the Collateral or any Liens granted to the Term Secured Parties in respect of all or any portion of the Collateral and regardless of how any such Lien was acquired (whether by grant, statute, operation of law, subrogation or otherwise), (ii) the order or time of filing or recordation of any document or instrument for perfecting the Liens in favor of the ABL Agent for the benefit of the ABL Secured Parties or any Term Agent for the benefit of the Term Secured Parties in any Collateral, (iii) any provision of the Uniform Commercial Code, Debtor Relief Laws or any other applicable law, or of the ABL Documents or the Term Documents, (iv) whether the ABL Agent or any Term Agent, in each case, either directly or through agents, holds possession of, or has control over, all or any part of the Collateral, (v) the date on which the ABL Obligations or the Term Obligations are advanced or made available to the Loan Parties, or (vi) any failure of the ABL Agent or any Term Agent to perfect its Lien in the Collateral, the subordination of any Lien on the Collateral securing any ABL Obligations or Term Obligations, as applicable, to any Lien securing any other obligation of any Borrower or Term Guarantor, or the avoidance, invalidation or lapse of any Lien on the Collateral securing any ABL Obligations or Term Obligations, the ABL Agent, on behalf of itself and the ABL Secured Parties, and each Term Agent, on behalf of itself and the applicable Term Secured Parties, hereby agree that the following priorities apply to the Liens upon and right to payment from Proceeds of the ABL Priority Collateral and the Term Priority Collateral:
