Awardee Obligations. The Awardee should review this Agreement with his or her own tax advisors to understand the federal, state, local and foreign tax consequences of the transactions contemplated by this Agreement. The Awardee will rely solely on such advisors and not on any statements or representations of the Company or any of its agents, if any, made to the Awardee. The Awardee (and not the Company) shall be responsible for the Awardee’s own tax liability arising as a result of the transactions contemplated by this Agreement.
Awardee Obligations. All contractual agreements for the purchase and operation of buildings and land without limitation are listed as follows: a) AUI’s share of the ownership of the Chilean company, Radioastronomy Chajnantor Limitada (RCL), which has been granted a land concession by the Government of Chile for the right to use the site on which the ▇▇▇▇ Array Operation Site is located. b) AUI’s share of the ownership of the land on which the ▇▇▇▇ Operations Support Facility (OSF) is located.
Awardee Obligations. 1. Awardee shall only use the WHOI facilities in accordance with the terms and conditions of this Agreement and all attachments hereto. 2. Awardee agrees to keep WHOI shared spaces in a neat, clean and attractive condition, and Awardee shall not store any personal or other possessions in areas of the WHOI shared space. 3. Awardees shall refrain from accumulating materials that cause overflow within any studio or storage space and shall remove any such materials upon the request of a WHOI employee or representative. 4. Awardee shall not cause any damage to any equipment owned by WHOI, including unallowed, unreasonable or inappropriate use of such equipment. Awardee shall not disturb the use and enjoyment of WHOI facilities by any other Awardee or WHOI staff. 5. Awardee agrees to respect the privacy and property of others, and to the physical security of other members’ possessions, materials, and space. 6. Awardee acknowledges and agrees to be bound and comply with the terms and conditions of the General Policies and Procedures, and the Waiver and Release of Liability (“General Policies”). The General Policies are attached to this Agreement as an exhibit and incorporated by reference as if fully set out within this document. 7. Awardee shall only access WHOI in accordance with the terms of the Funding and Access Plan and shall NOT allow anyone else access unless specifically approved by the Center for Marine Robotics and, provided, such visit is are for consultation purposes only. 8. Awardee agrees to use WHOI facilities for their benefit only and not to provide access to or services for any other third party. Violation of this policy will result in immediate termination of funding and access without financial recourse.
Awardee Obligations. The Awardee shall: Ensure that all Products will be safe for transport and handling provided the same is dealt with by the Service Provider in accordance with all reasonable instructions given by the Awardee and good industrial practices in transport, distribution, and warehousing. Ensure that the commodities are off-loaded from the container(s) or trucks within one (1) working day from the time of arrival of the truck at Awardee’s warehouse or designated delivery point. Indemnify the Service Provider in case the obligations specified in this clause and other provisions of the Agreement are not fulfilled by the Awardee. Ensure that the packaging of the Products and the nature of consignment comply with all applicable Laws. At its own cost, repackage or give instructions on repackaging upon notification by the Service Provider of any apparent poor packaging of the consignment.

  • Employee Obligations Provider shall require all employees and agents who have access to Division data to comply with all applicable provisions of this DPA with respect to the data shared under the Service Agreement.

  • Employee Obligation Provider shall require all employees and agents who have access to Student Data to comply with all applicable provisions of this DPA with respect to the data shared under this DPA. Provider agrees to require and maintain an appropriate confidentiality agreement from each employee or agent with access to Student Data pursuant to the DPA.

  • Licensee Obligations 3.1 The Licensee is responsible for the installation, operation and maintenance of telecommunication lines, equipment, software and other arrangements necessary for the Licensee to receive the Licensed Data from the LME. 3.2 The Licensee shall comply with the terms of any notified and commercially reasonable policy issued by the LME regarding the use of LME Data, including where applicable, any requirements to report to the LME and/or pay fees to the LME in respect of certain transactions undertaken by the Licensee using LME Data, or as otherwise required under the terms of such policy. 3.3 The Licensee shall procure and ensure the Licensee Personnel's compliance with the terms of this Agreement, and shall be entirely liable and responsible for any non-compliance and loss relating to such non-compliance (such being considered a breach by the Licensee).

  • Transferee Obligations Each person (other than the Corporation) to whom the Purchased Shares are transferred by means of a Permitted Transfer must, as a condition precedent to the validity of such transfer, acknowledge in writing to the Corporation that such person is bound by the provisions of this Agreement and that the transferred shares are subject to the Repurchase Right to the same extent such shares would be so subject if retained by Participant.
