Benefit Plans and Employment Agreements. Parent shall cause the Surviving Entity and its Subsidiaries to continue to employ, on terms comparable to those currently provided by MLP and its Subsidiaries, all employees of MLP and its Subsidiaries as of the Effective Time ("Continuing Employees"), including any employees on disability or other approved leave of absence; provided, however, nothing in this Agreement shall limit the Surviving Entity's or any of its Subsidiaries' right to terminate any employee after the Effective Time. With respect to those employee benefit plans, arrangements or policies of Parent or any of its Subsidiaries made available to Continuing Employees after the Effective Time (other than Option Plans), each such plan, arrangement or policy shall be offered to such Continuing Employees (and, if applicable, their dependents) with recognition for service under corresponding Benefit Plans prior to the Effective Time for purposes of eligibility, vesting, any waiting period, pre-existing conditions or insurability (other than any waiting period, pre-existing conditions of lack of insurability that constituted a restriction or limitation with respect the benefits available to a Continuing Employee immediately prior to the Effective Time) and shall credit the Continuing Employees with any co-payments or deductibles satisfied in the current plan year. After Closing, Parent and the Surviving Entity shall indemnify, defend and hold harmless MHC and its present and former directors, officers, employees, Affiliates, successors, assigns, agents and representatives and each other GP Indemnified Party from and against any and all Losses and related Expenses based upon, attributable or resulting from any claims or demands by Continuing Employees or their family members arising out of or in connection with the employment of the Continuing Employees on and after the Effective Time, including any claims relating to any severance arrangements and any Employee Benefit Plans which are "welfare" plans (within the meaning of Section 3(1) of ERISA). Notwithstanding the foregoing sentence, nothing in this Section 6.3 shall limit the indemnification of the Parent Indemnified Parties pursuant to Section 10.1(a)

Benefit Plans and Employment Agreements. (a) The Investors shall cause the Company and each of its Subsidiaries to maintain, for a period of two (2) years following the Closing Date, employee benefit plans, arrangements or policies which provide benefits to Continuing Employees (as defined below) that are comparable in the aggregate to those currently provided by the Benefit Plans listed on Section 4.3(a) of the Disclosure Schedule (excluding any incentive compensation arrangements).
Benefit Plans and Employment Agreements. The Company shall be responsible for providing the group health plan continuation coverage pursuant to Section 4980B of the Code, and sections 601 through 609 of ERISA for each qualified beneficiary currently receiving such continuation coverage, and each employee of the Company and their eligible dependents, and will cover such persons entitled to such coverage.

  • Employee Benefit Plans; Employment Agreements Except in --------------------------------------------- each case as set forth in SCHEDULE 4.10, (i) there has been no "prohibited transaction," as such term is defined in Section 406 of the Employee Retirement Income Security Act of 1975, as amended ("ERISA") and Section 4975 of the Code, with respect to any employee pension plans (as defined in Section 3(2) of ERISA, any material employee welfare plans (as defined in Section 3(1) of ERISA), or any material bonus, stock option, stock purchase, incentive, deferred compensation, supplemental retirement, severance and other similar fringe or employee benefit plans, programs or arrangements (collectively, the "COMPANY EMPLOYEE PLANS") which could result in any liability of the Company or any of its Subsidiaries; (ii) all Company Employee Plans are in compliance in all material respects with the requirements prescribed by any and all Laws (including ERISA and the Code), currently in effect with respect thereto (including all applicable requirements for notification to participants or the Department of Labor, Pension Benefit Guaranty Corporation (the "PBGC"), Internal Revenue Service (the "IRS") or Secretary of the Treasury), and the Company and each of its Subsidiaries have performed all material obligations required to be performed by them under, are not in any material respect in default under or violation of, and have no knowledge of any material default or violation by any other party to, any of the Company Employee Plans; (iii) each Company Employee Plan intended to qualify under Section 401(a) of the Code and each trust intended to qualify under Section 501(a) of the Code is the subject of a favorable determination letter from the IRS, and nothing has occurred which may reasonably be expected to impair such determination; (iv) all contributions required to be made to any Company Employee Plan pursuant to Section 412 of the Code, or the terms of any Company Employee Plan or any collective bargaining agreement, have been made on or before their due dates; (v) with respect to each Company Employee Plan, no "reportable event" within the meaning of Section 4043 of ERISA (excluding any such event for which the 30-day notice requirement has been waived under the regulations to Section 4043 of ERISA) nor any event described in Section 4062, 4063 or 4041 of ERISA has occurred; (vi) no withdrawal (including a partial withdrawal) has occurred with respect to any multiemployer plan within the meaning set forth in Section 3(37) of ERISA that has resulted in, or could reasonably be expected to result in, any withdrawal liability for the Company or any of its Subsidiaries; (vii) neither the Company nor any of its Subsidiaries has incurred, or reasonably expects to incur, any liability under Title IV of ERISA (other than liability for premium payments to the PBGC, and contributions not in default to the respective plans, arising in the ordinary course), (viii) none of the Company or any of its Subsidiaries is a party to any employment, consulting or similar agreement; and (ix) none of the Company or any of its Subsidiaries is or will be liable for any severance or other payments to any of its employees as a result of this Agreement or the consummation of the transactions contemplated hereby.

Correct and complete copies of all material documentation relating to the Company Employee Plans have been made available to Acquirer prior to the Agreement Date.

During the Continuation Period, Parent will cause the Surviving Corporation to pay or cause to be paid, consistent with the Company’s past practice in similar circumstances, to each Current Employee (i) who is involuntarily terminated or (ii) in the case of any employee covered by an employment, change in control, severance or similar agreement or entitlement providing for benefits upon a voluntary termination for good reason, who terminates employment voluntarily for good reason as therein defined, severance in accordance with past practices, including with respect to bonuses.

  • Plans and Benefit Arrangements The Borrower shall, and shall cause each other member of the ERISA Group to, comply with ERISA, the Internal Revenue Code and other applicable Laws applicable to Plans and Benefit Arrangements except where such failure, alone or in conjunction with any other failure, would not result in a Material Adverse Change. In the case of benefits which are provided at the Effective Time by Parent to employees of Parent and its Subsidiaries but are not then provided by the Company and its Subsidiaries to their employees, Parent will as soon as possible, and in all events within one year, after the Effective Time include the Company Employees in the plans under which such benefits are made available.
