BINDING OFFER. It is understood and agreed by the Landlord and Tenant that this Lease is an offer only and is submitted to Tenant for signature with the understanding that it shall not bind Landlord unless and until it has been executed by Landlord.

BINDING OFFER. Any Quotation furnished pursuant to this Request shall be deemed to be an offer. Any exceptions to this statement must be clearly and specifically indicated.

BINDING OFFER. A proposal submitted in response to this solicitation shall constitute a binding offer. Acknowledgment of this condition is indicated by the submittal of a proposal. PROPOSAL MATERIALS OWNERSHIP. All products and materials submitted in response to this solicitation become the property of the State of Colorado at the Proposal Submission Deadline, unless otherwise noted in this solicitation. Proposals may be reviewed by any person after the "Notice of Intent to Make an Award" announcement has been issued, subject to the terms of C.R.S. Title 24, Article 72, Part 2, as amended.

BINDING OFFER. This Assignment will not be binding until executed and delivered by all three parties.

BINDING OFFER. All Applications should be responsive to the OE as issued or amended through written and posted Addenda, not with any assumption that DSHS will negotiate any or all terms, conditions, or provisions of the OE. Furthermore, all Applications constitute binding offers. Any Application that includes any type of disclaimer or other statement indicating that the Application submitted in response to this OE does not constitute a binding offer may be disqualified.

BINDING OFFER. 1.1 We hereby promise to the Beneficiaries to purchase 100% of the share capital and voting rights of PeopleDoc on a fully diluted basis on the terms and conditions of this letter and of the share purchase agreement (the "SPA"), a copy of which is set out in agreed form in Schedule 3 (the "Binding Offer"). This Binding Offer is subject only to paragraph 2 of this letter. The Beneficiaries accept the benefit of this Binding Offer as an offer (promesse) only and reserve the right at their sole discretion to accept it or not, subject to the terms and conditions set forth herein.

BINDING OFFER. Respondent's Solicitation Response will remain a firm and binding offer for 240 days from the date the Solicitation Response is due.

BINDING OFFER. Subject to the terms hereof, Team hereby extends a binding, irrevocable offer (the "BINDING OFFER") to FFP to have Team purchase from FFP the remaining 50 % interest in Team/FFP (the "SECOND TEAM/FFP PURCHASE"). Such offer shall expire unless accepted by FFP in the form of a notarial acceptance deed on or before April 30, 2001 (the date on which FFP executes such notarial acceptance deed shall hereinafter be referred to as the "BINDING OFFER ACCEPTANCE DATE").

BINDING OFFER. We hereby promise to Xxxxxxx (the “Beneficiary”) to purchase the Arc Business (as fully described in clause 2 of the BSA) for a headline purchase price (the “Purchase Price”) of € 29,675,000 (subject to a deduction for retained working capital of € 8,600,000 to give a net closing purchase price of € 21,075,000 subject to post-closing adjustments) and otherwise on the terms of this letter and of the business sale agreement (the “BSA”) and other ancillary agreements required to implement the Transaction (collectively the “Transaction Documents”) (the “Binding Offer”). A copy of the signed debt and equity financing commitments evidencing our ability to pay the Purchase Price is set out in Schedule 1. The final form of the Transaction Documents is attached to our email of 8th July 2016. The Binding Offer is conditional only on paragraph 2 of this letter. The Beneficiary accepts the benefit of the Binding Offer as an offer (promesse unilatérale d’achat) only and reserves the right at its sole discretion to accept it or not.

BINDING OFFER. A proposal submitted in response to this solicitation shall constitute a binding offer. Acknowledgment of this condition shall be indicated by the signature of the authorized officer or agent of Offeror on the State of Colorado Department of Health Care Policy and Financing Signature Page (Appendix B).
