Products and Materials. Subject to the terms and conditions of this Agreement, Sponsor will have the following Sponsorship Recognition Material distribution rights: Sponsor understands, acknowledges, and agrees that the method of distribution and the amount, scope, and type of promotional products that may be distributed in accordance with this Section will be determined by University.
Products and Materials. (a) The Sellers have disclosed to Purchaser:
(i) All locations at which tangible Purchased Assets are located (including locations owned or controlled by third parties); and
(ii) All locations at which any Product clinical or other trials (including observational studies) are being conducted.
(b) Except as set forth on Section 3.13(b) of the Seller Disclosure Schedule, the Sellers have granted access to, or made available to, Purchaser a true, correct and complete copy of all documentation in the Sellers’ possession, relating to all present and past Products clinical or other human trials (including observational studies), consistent with the Health Insurance Portability and Accountability Act of 1996, as amended, and other such Laws governing privacy of human subjects.
(c) Schedule 2.1(c) is a true, correct and complete list of the Equipment as of the date of this Agreement.
(d) The specifications and manufacturing documentation for the Amadeus Device (a copy of which has been made available to Purchaser) is complete and accurate in all material respects. Such documentation includes all data and know-how used or held for use by the Sellers to manufacture the Amadeus Device and is current, accurate in all material respects, and sufficient in detail and content to identify and explain the designs, concepts and processes described therein.
(e) No material product liability claim has been made against any Seller arising out of, relating to, or resulting from any injury to any individual or property as a result of the ownership, possession, or use of any Product sold or distributed by Seller before the Closing Date. Sellers have not received notice as to any claim for personal injury or death, any claim for property, economic, punitive, or exemplary damages, any claim for contribution or indemnification, or any claim for injunctive relief, in each case in connection with any product sold by Sellers.
Products and Materials. During the Transition Period, Flextronics shall manufacture and ship Products for which purchase orders were accepted prior to the thirtieth day after the notice date of termination.

To the extent that any of Consultant’s pre-existing work product or materials are incorporated in or combined with, or otherwise necessary for the use or exploitation of any work product under this Agreement, Consultant retains ownership of the same but hereby grants to District an irrevocable, worldwide, perpetual, royalty-free, non-exclusive license to use, publish, reproduce, perform, display, distribute, modify, prepare derivative works based upon, and otherwise explain, such preexisting work product, materials, and derivative works thereof. In consideration of the services rendered in accordance with all terms, conditions, and specifications set forth herein and any Exhibit(s) or attachment(s) attached hereto, the District shall make payment to Provider in the manner specified herein.
Products and Materials. Except as expressly set out otherwise in the Contract, the Contractor will only provide products and materials that are new. If the Contract does not specify or describe the quality of a product or materials required for the Work, then the product or materials will be of a quality equivalent to the quality of the adjacent or connecting portions of the Work.

Products and Materials. While Vervante will treat the customer's materials with the utmost care, Vervante specifically denies liability for damage or loss due to fire, casualty, or negligence while the customer's products and materials are in the care and possession of Vervante.

The Employer undertakes to consider using services, products and other materials necessary to the proper functioning of the hotel, which are manufactured, provided or produced under fair labour conditions. An Arbitrator shall have no jurisdiction to entertain any grievance arising out of the provisions of this Letter of Understanding.
