BOISE SHALL a. Be the party responsible for soliciting, receiving and opening of bids, and for executing and administering the construction CONTRACT for the roadway reconstruction and INSTALLATION OF APS EQUIPMENT FOR THE TRAFFIC SIGNAL SYSTEM AT CAPITOL BLVD AND MAIN STREET referenced herein, which CONTRACT shall include, inter alia, a provision that all work required for the INSTALLATION OF APS EQUIPMENT FOR THE TRAFFIC SIGNAL SYSTEM AT CAPITOL BLVD AND MAIN STREET shall be performed in conformance with the most current edition of the Idaho Standards for Public Works Construction (ISPWC) and the most current ACHD Supplemental Specifications to the ISPWC and any other applicable standards and specifications. b. Prepare construction plans and specifications for the City Hall Plaza Renovation. Plans and specifications will be designed by an engineer licensed with the State of Idaho. APS upgrades included in the approved plans for City Hall Plaza Renovation (ATTACHMENT A) shall be limited to the northwest and northeast corners of the intersection of Capitol Blvd. and Main Street and consist of the following: i. BOISE will furnish and install a maximum of four new traffic-rated junction boxes, new conduit necessary to connect proposed ACHD-furnished pedestrian signal poles with pedestrian signal heads to existing signal equipment at the respective corner of the intersection, wiring necessary to connect new signal equipment to existing signal equipment, and a maximum of four concrete foundations for signal poles. ii. BOISE will install a maximum of four new 12-ft tall pedestrian signal poles with new pedestrian signal heads. ACHD will supply all new pole and new signal head hardware and provide an itemized list of all equipment to BOISE. (ATTACHMENT B) Improvements, upgrades, labor, materials, and equipment not specifically identified above or included on the approved project construction documents, shall be furnished and installed under a separate project by ACHD. APS equipment shall be activated at the intersection of Capitol Blvd. and Main Street at a later date by ACHD. c. Provide ACHD with a complete set of combined bid documents for the roadway reconstruction, and for the INSTALLATION OF APS EQUIPMENT FOR THE TRAFFIC SIGNAL SYSTEM AT CAPITOL BLVD AND MAIN STREET. d. ACHD shall be responsible and shall reimburse BOISE for any and all costs suffered by BOISE attributable to the removal of the INSTALLATION OF APS EQUIPMENT FOR THE TRAFFIC SIGNAL SYSTEM AT CAPITOL BLVD ...

  • We will when making a determination as to whether a situation amounts to a Manifest Error, act fairly towards you but the fact that you may have entered into, or refrained from entering into, a corresponding financial commitment, contract or Transaction in reliance on an Order placed with us (or that you have suffered or may suffer any loss) will not be taken into account by us in determining whether there has been a Manifest Error.

  • Best Efforts/Full-time Executive will expend Executive’s best efforts on behalf of Company, and will abide by all policies and decisions made by Company, as well as all applicable federal, state and local laws, regulations or ordinances. Executive will act in the best interest of Company at all times. Executive shall devote Executive’s full business time and efforts to the performance of Executive’s assigned duties for Company, provided that Executive may continue to serve on the boards of directors of other companies so long as such service is in accordance with the Company’s policies governing such activities.

  • Continued Efforts Each Party shall use commercially reasonable efforts to (a) take all action reasonably necessary to consummate the Transactions, and (b) take such steps and do such acts as may be necessary to keep all of its representations and warranties true and correct as of the Closing Date with the same effect as if the same had been made, and this Agreement had been dated, as of the Closing Date.

  • Continued Force and Effect This Agreement shall remain in full force and effect unless terminated pursuant to Sections 13(a), (b), (c), or (d) above or otherwise by mutual agreement of the parties.

  • At Will Executive and the Company acknowledge and agree that Executive's employment with the Company is expressly "at will." This means that either party may terminate Executive's employment for any reason with or without cause. Any termination of Executive's employment is, however, subject to the terms and provisions of this Agreement as to Severance Pay (as defined below) and Option vesting in accordance with Sections 3.2(a), 3.2(b) and 3.3(a).

  • Time and Efforts Employee shall devote all of his business time, efforts, attention and energies to Employer’s business and to discharge his duties hereunder.

  • You will 3.4.1 perform all your obligations under the Contract, 3.4.2 follow our reasonable instructions, 3.4.3 provide us with up-to-date information, cooperation, support, and access, at your cost, to enable us to perform our obligations under the Contract, 3.4.4 provide us with office, information technology, and telecommunications facilities (including full remote access), at your cost, to enable us to perform our obligations under the Contract, 3.4.5 supply on an ongoing basis, at your cost, all space, power supply access points, cables, trunking, electricity, air conditioning and any other facility as may be defined following the site survey required to receive the Installation Service and the Service, and 3.4.6 keep full and up-to-date secure backup copies of the data on the Network in accordance with good industry practice, and 3.4.7 comply with and maintain compliance with all such laws and regulations that relate to their provision of telecommunications and other products or services supplied by us.

  • ATTENTION AND EFFORT During the Employment Period, and excluding any periods of vacation and sick leave to which the Executive is entitled, the Executive will devote all of the Executive’s productive time, ability, attention and effort to the business and affairs of the Company and the discharge of the responsibilities assigned to the Executive hereunder, and will use the Executive’s reasonable best efforts to perform faithfully and efficiently such responsibilities. It shall not be a violation of this Agreement for the Executive to (a) serve on corporate, civic or charitable boards or committees, (b) deliver lectures, fulfill speaking engagements or teach at educational institutions, (c) manage personal investments, or (d) engage in activities permitted by the policies of the Company or as specifically permitted by the Company, so long as such activities do not significantly interfere with the performance of the Executive’s responsibilities in accordance with this Agreement. It is expressly understood and agreed that to the extent any such activities have been conducted by the Executive prior to the Employment Period, the continued conduct of such activities (or the conduct of activities similar in nature and scope thereto) during the Employment Period shall not thereafter be deemed to interfere with the performance of the Executive’s responsibilities to the Company.
