Bonus and Other Compensation Arrangements. The Company and Employee acknowledge and agree that Employee receive a severance bonus in an amount equal to $200,000.00, less applicable taxes and other withholding required by law or authorized by Employee, such amount to be paid in a single cash lump sum as soon as administratively practicable, which shall not exceed 5 days, after this Agreement becomes no longer subject to revocation. Employee will not otherwise be eligible to receive any bonus compensation or any other award or compensation under any Company bonus, equity or other compensation plan except as set forth herein. Employee acknowledges that she has been paid all bonuses earned and to which she is entitled as of the Termination Date.

Employee agrees that the payments provided by this Agreement are not required under the Company's normal policies and procedures and are provided as a severance solely in connection with this Agreement and the Employment Agreement. Employee further acknowledges and agrees that the payments referenced in this Agreement constitute adequate and valuable consideration, in and of themselves, for the promises contained in this Agreement.
Bonus and Other Compensation Arrangements. The Executive shall be eligible for a bonus under the Company’s 2007 Incentive Payment Plan (“2007 IPP”). The 2007 IPP bonus payable to the Executive, if any, shall be determined by the Board or its designee in the ordinary course, and shall be pro-rated based on the number of months elapsed from the beginning of the performance period through March 31, 2007. In addition, the Executive shall be eligible for a bonus under the Company’s 2007 Special Discretionary Bonus Plan (“2007 SDBP”). The 2007 SDBP payable to the Executive, if any, shall be determined by the Board or its designee in the ordinary course, and shall be pro-rated based on the number of months elapsed from the beginning of the performance period through March 31, 2007. For the period from April 1, 2007 through March 15, 2008, the Executive shall be eligible for a discretionary bonus, based upon the value of services rendered by him through the Separation Date, as determined by the Board or its designee in its sole and absolute discretion. All bonus compensation payable pursuant to this Agreement shall be paid at the same time that other executives receive bonus compensation, and shall be net of all applicable taxes and other authorized withholding. For the avoidance of doubt, the Company and the Executive acknowledge and agree that the Executive will not be eligible to receive any bonus compensation or any other award under any Company bonus, stock or other compensation plan except as set forth herein.

Related to Bonus and Other Compensation Arrangements

  • Compensation and Other Benefits Subject to the provisions of this Agreement, the Company shall pay and provide the following compensation and other benefits to the Executive during the Term as compensation for services rendered hereunder:

  • Executive Perquisites, Benefits and Other Compensation Employee shall be entitled to receive additional benefits and compensation from the Company in such form and to such extent as specified below:

  • No Limit on Other Compensation Arrangements Nothing contained in this Agreement shall preclude the Company or any Related Entity from adopting or continuing in effect other or additional compensation plans, agreements or arrangements, and any such plans, agreements and arrangements may be either generally applicable or applicable only in specific cases or to specific persons.

  • Vacation and Other Benefits Each Contract Year, Executive shall be entitled to four (4) weeks of paid vacation in accordance with Employer’s applicable policies and procedures for executive-level employees. Executive shall also be eligible to participate in and receive the fringe benefits generally made available to other executive-level employees of Employer in accordance with and to the extent that Executive is eligible under the general provisions of Employer’s fringe benefit plans or programs; provided, however, that Executive understands that these benefits may be increased, changed, eliminated or added from time to time during the Term as determined in Employer’s sole and absolute discretion.

  • Expenses and Other Benefits 6.1 The Company shall promptly reimburse to the Executive all reasonable travel and other out of pocket expenses properly incurred by him in the performance of his duties under the Employment. The Executive will submit claims for expenses reimbursement to the Company regularly with appropriate supporting documentation.

  • Insurance and Other Benefits During the Employment Period, the Executive and the Executive’s dependents shall be entitled to participate in the Company’s insurance programs and any ERISA benefit plans, as the same may be adopted and/or amended from time to time (the “Benefits”). The Executive shall be entitled to paid personal days on a basis consistent with the Company’s other senior executives, as determined by the Board. The Executive shall be bound by all of the policies and procedures established by the Company from time to time. However, in case any of those policies conflict with the terms of this Agreement, the terms of this Agreement shall control.

  • Employees, ERISA and Other Compliance 2.15.1 Neither the Company nor any subsidiary of the Company has any employment contract or consulting agreement currently in effect that is not terminable at will (other than agreements with the sole purpose of providing for the confidentiality of proprietary information or assignment of inventions) without liability to the Company or such subsidiary. All officers, directors, employees and consultants of the Company having access to proprietary information have executed and delivered to the Company an agreement regarding the protection of such proprietary information and the assignment of inventions to the Company; true and complete copies of the form of all such agreements have been delivered to DoveBid.
