Severance Bonus definition

Severance Bonus means: an amount equal to a pro rata portion of the aggregate bonus under the Executive Bonus Plan for the year in which the Executive incurs a Termination of employment plus any unpaid bonus earned under the Executive Bonus Plan for the year prior to the year in which Executive incurs a Termination of employment to which the Executive would otherwise have been entitled had his or her employment not terminated.
Severance Bonus means the greater of (I) the Executive's average Annual Bonus over the two calendar years preceding the Date of Termination and (II) the Executive's Target Bonus, unless the Executive terminates his employment for the reason set forth in Section 4(c)(ii), in which case the Severance Bonus shall be $2,200,000. For the purpose of calculating the Executive's average Annual Bonus hereunder, $1,300,000 shall be the Executive's Bonus for calendar year 2003; and
Severance Bonus shall have the meaning set forth in Section 6(a)(i).

Examples of Severance Bonus in a sentence

  • If an Employee has not participated in three bonus cycles, then the Severance Bonus will reflect the shorter period (or target if the Employee has not participated in any bonus cycles).

  • If an Employee’s first year bonus is to be included in the calculation of the Severance Bonus, and such bonus is pro-rated for the portion of the year the Employee was employed with the Company, then an annualized amount shall be used for the calculation.

Severance Bonus means, as of the Termination Date, the greater of the Prior 3 Year Average Cash Bonus or the Prior Year Cash Bonus.

Severance Bonus means Executive’s Target Award for the calendar year in which Executive is terminated, or to the extent greater and solely in the event of a CIC Severance, Executive’s Target Award for the calendar year in which the Change in Control occurs.
Severance Bonus has the meaning assigned thereto in Section 5(a)(ii)(D) hereof.
