Budget Execution for the Current FY. 1. During the regularly scheduled project manager meetings, the project managers in their review of the progress of projects scheduled for the year shall discuss potential cost savings initiatives and productivity gains for the projects. 2. DOE shall provide EPA and KNREPC with copies of any PGDP program execution guidance at the same time it is provided to DOE's contractors. DOE shall consult with EPA and KNREPC in reviewing WBS summaries prepared by the contractors. 3. Throughout the FY, DOE shall promptly notify EPA and KNREPC of any proposed site-specific or major programmatic action, if such action is likely to have an impact on DOE's ability to meet the requirements of this Agreement. DOE shall consider any comments made by EPA or KNREPC in implementing the proposed action. 4. Within thirty (30) days of the completion of DOE's annual midyear management review, DOE shall brief EPA and KNREPC on any decisions that affect compliance with the requirements of this Agreement. 5. DOE agrees to notify the EPA and KNREPC when it provides confidential budget information to EPA and KNREPC. EPA and KNREPC agree not to release confidential budget information to any other entities prior to submission of the President's budget request to Congress, unless authorized by DOE or required to do so by the Kentucky Open Records Act (KRS 61.870 et seq.), by federal statute or regulation, or by court order. DOE may seek to intervene in any proceeding brought to compel or enjoin release of this information. If allowed to intervene, DOE may assert its interest in, and the legal basis for, maintaining the confidentiality of this information. 6. DOE shall provide EPA and KNREPC with a copy of the reports specified in section 3153 of the Defense Authorization Act for fiscal year 1994 within 10 days of their submission to Congress. 7. Neither the process described above, nor EPA and KNREPC's participation in the process, waives their position that the Executive Branch is obligated to seek full funding for all activities required by this Agreement and that DOE's failure to obtain adequate funds or appropriations from Congress does not in any way relieve DOE from its obligation to comply with this Agreement. If adequate funds or appropriations are not available to fulfill DOE's obligations under this Agreement, EPA and KNREPC may pursue any remedy they have under this Agreement or exercise any of their statutory or regulatory authority. (5) Determine the net asset value of the Fund according to the accounting policies and procedures set forth in the Fund’s current prospectus. (6) Calculate per share net asset value, per share net earnings, and other per share amounts reflective of Fund operations at such time as required by the nature and characteristics of the Fund. (7) Communicate to the Fund, at an agreed upon time, the per share net asset value for each valuation date. (8) Prepare monthly reports that document the adequacy of accounting detail to support month-end ledger balances. (9) Prepare monthly security transactions listings.

  • Opinion of U.S. Counsel for the Company The Company shall have requested and caused Pxxx, Weiss, Rifkind, Wxxxxxx & Gxxxxxxx LLP, counsel for the Company, to have furnished to the Representative its opinions dated the Closing Date and addressed to the Representative in form and substance acceptable to the Representative.

  • Pricing Instrument; Execution and Incorporation of Terms The parties hereto will enter into this Indenture by executing the Pricing Instrument. By executing the Pricing Instrument, the Indenture Trustee, the Registrar, the Transfer Agent, the Paying Agent, the Calculation Agent and the Trust hereby agree that the Indenture will constitute a legal, valid and binding agreement between the Indenture Trustee, the Registrar, the Transfer Agent, the Paying Agent, the Calculation Agent and the Trust. All terms relating to the Trust or the Notes not otherwise included herein will be as specified in the Pricing Instrument or Pricing Supplement, as indicated herein.

  • Opinion of PRC Counsel for the Company At each Closing Date, the Underwriters shall have received the written opinion of Xxxxxxxxx Law Offices, PRC counsel for the Company, dated such Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Underwriters.

  • COOPERATION IN FUTURE MATTERS The Executive hereby agrees that, for a period of three (3) years following his Date of Termination, he shall cooperate with the Company's reasonable requests relating to matters that pertain to the Executive's employment by the Company, including, without limitation, providing information or limited consultation as to such matters, participating in legal proceedings, investigations or audits on behalf of the Company, or otherwise making himself reasonably available to the Company for other related purposes. Any such cooperation shall be performed at times scheduled taking into consideration the Executive's other commitments, and the Executive shall be compensated at a reasonable hourly or per diem rate to be agreed by the parties to the extent such cooperation is required on more than an occasional and limited basis. The Executive shall not be required to perform such cooperation to the extent it conflicts with any requirements of exclusivity of service for another employer or otherwise, nor in any manner that in the good faith belief of the Executive would conflict with his rights under or ability to enforce this Agreement.

  • DOMICILIUM CITANDI ET EXECUTANDI 37.1 The Parties and the Participants choose as their domicilia citandi et executandi for all purposes under this Trust Deed, whether in respect of court process, notices or other documents or communications of whatsoever nature, the following addresses and fax numbers and email addresses – 37.1.1 The Company and the Trustees: Harmony Xxxxxx Xxxx, xxx Xxxx Xxxx Xxxx xxx Xxxx Xxxxxx, Randfontein, 1759; Telefax: +00 (0)00 000-0000; email: xxxxx.xxxxxxxxx@xxxxxxx.xx.xx; 37.1.2 Each Participant: the address, telefax number and email address (if any) notified by the Participant to the Company or the Trustees in writing from time to time. 37.2 Any notice or communication required or permitted to be given in terms of this Trust Deed shall be valid and effective only if in writing and, unless otherwise provided by the Trustees, it shall be competent to give notice by telefax and e-mail. 37.3 Any of the parties may by notice to the other parties change the physical address chosen as its domicilium citandi et executandi vis-à-vis that party to another physical address in South Africa or its telefax number, provided that the change shall become effective vis-à-vis that addressee on the fourth business day from the deemed receipt of the notice by the addressee. 37.4 Any notice to a party – 37.4.1 sent by prepaid registered post (by airmail if appropriate) in a correctly addressed envelope to it at its domicilium citandi et executandi shall be deemed to have been received on the 10th (tenth) business day after posting (unless the contrary is proved); 37.4.2 delivered by hand to a responsible person during ordinary business hours at its domicilium citandi et executandi shall be deemed to have been received on the day of delivery; or 37.4.3 sent by telefax or email to its chosen telefax number or email address referred to in clause 37.1.1, shall be deemed to have been received on the date of dispatch (unless the contrary is proved). 37.5 Notwithstanding anything to the contrary herein contained a written notice or communication actually received by a party shall be an adequate written notice or communication to it notwithstanding that it was not sent to or delivered at its chosen domicilium citandi et executandi.
