Business Associate Services and Additional Activities. The services provided by Business Associate for VAXCARE (“Services”) may involve the use and disclosure of individually identifiable health information, deemed protected health information or electronic protected health information (collectively “PHI”) under HIPAA and the HITECH Act and applicable state law and/or regulations. Except as otherwise provided herein, the Business Associate may make any and all uses of PHI (i) necessary to perform the Services and its obligations under this Agreement; and (ii) as necessary for the proper management and administration of Business Associate and to carry out its legal responsibilities. Business Associate represents and warrants to VAXCARE that (i) any disclosures it makes will be required by law; and (ii) the Business Associate will obtain a written agreement from any person or entity to whom the PHI will be disclosed that the PHI will be held confidentially and will not be further used or disclosed except as required by laws or for the purpose for which it was lawfully disclosed to such person or entity, and that such person or entity will notify the Business Associate of any instances of which it is aware in which the confidentiality of the PHI has been Breached (as defined below).
