C3 RESERVATIONS SUBSCRIPTION RENEWAL. Upon the expiration of a term, this Agreement will automatically renew for successive renewal terms equal in duration to the last term or 12 months, whichever is the lesser duration, at the then current fees in accordance with the Agreement. Except where the fees are set out in the C3 Reservations Order Form, the Customer hereby acknowledges and agrees that renewal fees and charges may be increased, from time to time, in C3’s sole discretion. Such increase will not exceed the increase of the Consumer Price Index for Canada published by Statistics Canada or any successor agency for the relevant period. C3 will invoice the Customer for the subsequent term 60 days before the end of the current term or as otherwise mutually agreed upon in the C3 Reservations Order Form. The Customer may terminate this Agreement as provided for in Section 10 -­‐ Termination. If no such cancellation has been received by C3, the renewal fees and additional charges invoiced, if any, will become due and payable as mutually agreed upon in the C3 Reservations Order Form. Renewal of subscription and continued use of C3 Reservations will be a binding acceptance of the Terms of Use, as posted 30 days prior to the start date of renewal of the Customer subscription term, including any C3 modifications, if any and price changes as detailed above. Renewal fees for the following term will be automatically invoiced to Customer’s account in accordance with the Agreement unless C3 has received a proper cancellation notice. To prevent any interruption in the use of C3 Reservations the Customer must pay C3 the renewal fees and additional charges, if any, before the beginning of a new term or as otherwise mutually agreed upon in the C3 Reservations Order Form.

Red Hat Storage Server for Public Cloud Red Hat Storage Server for Public Cloud is intended to be used as a storage system and will be supported only when used as a storage node. When running in Amazon Web Services, an EC2 M1 Large dedicated instance is required in order to be supported. Running other applications and/or programs of any type on the same instance can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server. Red Hat Storage Server for Red Hat Enterprise Linux OpenStack Platform is intended for use on a dedicated Physical Node; running other applications and/or programs of any type on the Physical Node can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case.   • Term of Subscriptions The Initial Subscription of each Subscription is set out on the relevant Order Form and starts on the earlier of: (a) the date a User first accesses the Service; or (b) the start date set out on the relevant Order Form. SUBSCRIPTIONS AUTOMATICALLY RENEW FOR A FURTHER 12-MONTH PERIOD (A RENEWAL) UNLESS EITHER PARTY HAS GIVEN THE OTHER NOT LESS THAN 60 CALENDAR DAYS’ NOTICE PRIOR TO ITS EXPIRY TO CANCEL IT ON EXPIRY. If Renewed before expiry any increase in Fees will be limited to the then rate of the UK Consumer Price Index plus 5% (unless We provide you, either directly or through a Reseller, with notice of a different increase at least 90 days’ prior to the Renewal date). This restriction will not: (a) limit any increase caused by changes in the number or type of Subscriptions; or (b) apply to a Subscription Renewed after its expiry. We do not commit to offering promotional discounts on Renewals. If you look to reduce your Subscriptions, or the length of your Renewal from those during the immediately prior Initial Subscription or Renewal (as applicable), this may result in re-pricing without regard to your current per-Subscription pricing. Notices may be given by Us by email or electronically submitted invoice or notice.

  • Shipping must be Freight On Board Destination to the delivery location designated on the Customer purchase order The Contractor will retain title and control of all goods until delivery is completed and the Customer has accepted the delivery. All risk of transportation and all related charges are the responsibility of the Contractor. The Customer will notify the Contractor and H-GAC promptly of any damaged goods and will assist the Contractor in arranging for inspection. The Contractor must file all claims for visible or concealed damage. Unless otherwise stated in the Agreement, deliveries must consist only of new and unused merchandise.

  • Software Subscription Lifecycle During the life cycle of Red Hat Software, the scope of Software Maintenance and Support evolves and, after a number of years, we discontinue Software Maintenance and Support for older versions of Software. The details of the Software Maintenance and Production Support life cycle are set forth at xxxxx://xxxxxx.xxxxxx.xxx/support/policy/update_policies.html. If available, you may purchase Extended Update Support and/or Extended Life Cycle Support, as described in Exhibit 1.G, to extend your Subscription Services for certain versions of Software.

  • ADDITIONAL USER SUBSCRIPTIONS 3.1 Subject to clause 3.2 and clause 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in paragraph 1 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreement.

  • DELIVERY: FOB DESTINATION, INSIDE DELIVERY, FREIGHT PAID Whenever possible, contractors should give the ordering entities 3 working days prior notice of any deliveries and/or installations. Furniture contractors will not be responsible for the removal/moving of existing furnishings unless requested by the ordering entity. Contractors should verify site readiness prior to delivery. All deliveries will be made during normal working hours unless otherwise arranged with the ordering entity. Contractor will communicate any scheduling delays and/or changes immediately. Agencies will not be responsible for any freight damage, concealed or otherwise.
