Cancellation right of H. I.S. A. If the customer fails to pay the travel fee no later than the date stipulated in Section 8, H.I.S. may cancel the Travel Contract. In this case, the customer will be required to pay the penalty charge in the same amount as the cancellation fee as stipulated in paragraph (1) (i) A. of this Section. B. Should any of the following items apply, H.I.S. may cancel the Travel Contract after providing explanation to the customer. a. If it is found that the customer does not satisfy the requirements for travel participation, including, but not limited to, sex, age, qualification, or skill; b. If it is recognized that the customer is unable to endure the travel, due to disease, non‐existence of necessary caretaker or any other reason; c. If it is recognized that the customer is likely to cause nuisance to other customers or to disturb smooth implementation of group activities; d. If the customer demands that H.I.S. should bear an unreasonable burden with regard to the contract content; e. If the number of customers is less than the minimum traveler counts as described in the Brochures. In this case, H.I.S. will notify the customers of cancellation of the travel no later than the 13th day (or 3rd day in the case of a one‐day trip) in advance of the departure date, retroactively calculated from the day preceding the departure date; f. If the conditions that are expressly indicated in advance by H.I.S. are not satisfied or if there is a high possibility that such conditions will not be satisfied, including the case where the amount of snowfall is insufficient for ski travel; g. If the safe and smooth implementation of travel schedule as described in the brochures becomes or is highly likely to become impossible due to natural disaster, war, riot, suspension of service of transportation or accommodation facilities, etc., order of government authority or any event that is beyond the control of H.I.S.; or h. If it is discovered that any of item (11) to (13) of Section 5 is applicable to the customer. C. If the Travel Contract is cancelled under paragraph (1) (ii) A. of this Section, H.I.S. will reimburse the travel fee (or application fee) already received, after deducting the penalty charge.

If the conditions that are expressly indicated in advance by H.I.S. are not satisfied or if there is a high possibility that such conditions will not be satisfied, including the case where the amount of snowfall is insufficient for ski travel; or g. If the safe and smooth implementation of travel schedule as described in the brochures becomes or is highly likely to become impossible due to natural disaster, war, riot, suspension of service of transportation or accommodation facilities, etc., order of government authority or any event that is beyond the control of H.I.S. C. If the Travel Contract is cancelled under paragraph (1) (ii) A. of this Section, H.I.S. will reimburse the travel fee (or application fee) already received, after deducting the penalty charge.

  • Cancellation Rights If the offer of a place and its acceptance are both made entirely at distance by means of post, fax or electronic communication without either parent meeting face to face with a member of the School staff during the contractual process the Parents may cancel this agreement at any time within 14 days of the date of the acceptance form. In such circumstances the Acceptance Deposit and the Additional Deposit, if paid, will be refunded together with any Fees paid pro-rated if the School has provided any educational services under this agreement.

  • Cancellation of Shares If the Corporation shall make available, at the time and place and in the amount and form provided in this Agreement, the consideration for the Purchased Shares to be repurchased in accordance with the provisions of this Agreement, then from and after such time, the person from whom such shares are to be repurchased shall no longer have any rights as a holder of such shares (other than the right to receive payment of such consideration in accordance with this Agreement). Such shares shall be deemed purchased in accordance with the applicable provisions hereof, and the Corporation shall be deemed the owner and holder of such shares, whether or not the certificates therefor have been delivered as required by this Agreement.

  • Cancellation of Options In exchange for the consideration described in Section 1.2 below, the Participant hereby agrees that the Award Agreement and the Participant’s interests in the Underwater Options shall be cancelled, terminated, and of no further force or effect, effective as of the Effective Date, and that neither the Company nor the Participant shall have any further rights or obligations with respect to the Award Agreement, the Underwater Options, or with respect to which any shares of Common Stock that could have been acquired upon vesting and exercise of the Underwater Options.

  • Termination Rights 17.1 In addition to any other termination rights it has, the Department may terminate this Contract at any time by issuing a Notice to the Training Provider. Such a termination will take effect 20 Business Days after the Notice takes effect under Clause 14.2, or at any later time specified in the Notice. 17.2 If the Department terminates this Contract under Clause 17.1, it will determine and pay: a) amounts that, in its reasonable opinion, are due and payable under Clause 8 as at the date of termination; and b) reasonable costs (but not including loss of profit or income) that, in its reasonable opinion, have been necessarily and directly incurred by the Training Provider as a result of the termination, provided that the Training Provider has, to the reasonable satisfaction of the Department: i) used its best efforts to minimise any costs arising as a result of the termination; and ii) provided adequate documentary evidence to substantiate those costs. 17.3 This Contract may be terminated at any time by written agreement between the Parties. 17.4 The Department may terminate this Contract immediately by issuing a Notice to the Training Provider if: a) the Training Provider commits a Material Breach; b) the Training Provider commits a breach of this Contract (whether or not it is a Material Breach) which cannot be remedied; c) the Training Provider commits a breach of this Contract (whether or not it is a Material Breach) and it: i) fails to commence action to remedy the breach within 10 Business Days after the Department has served a Notice requiring it to do so; or ii) having commenced action to remedy the breach, fails to complete that action as soon as possible and in any event within 20 Business Days of the Department's Notice; d) without limiting paragraphs (a) to (c), the Training Provider fails to provide some or all of the Training Services for which Funds have been claimed and/or paid or any such Training Services are not provided to a standard satisfactory to the Department; e) there has been any fraud, or the Department reasonably suspects any fraud, relating to the Training Provider or the Funds, or there has been any misappropriation of Funds by the Training Provider or any other misleading or deceptive conduct on the part of the Training Provider in connection with this Contract or the claiming, receipt or use of the Funds; f) the Training Provider’s registration as a registered training organisation under the Act or the National Act is suspended, withdrawn, cancelled or otherwise ceases; g) an Other VET Funding Arrangement Termination Event occurs;

  • Cancellation by Us If We cancel this Agreement, We shall mail to You written notice to Your last known address stating the reason and effective date for cancellation, at least five (5) days prior to cancellation. However, such prior notice shall not be required if We cancel for nonpayment of the Purchase Price, material misrepresentation by You to Us, or substantial breach of duties by You relating to the Covered Vehicle or its use.

  • Cancellation by You 5.1. If you wish to cancel your Booking for whatever reason, you must confirm in writing to us that. Your cancellation will come into effect on the date that we receive your written confirmation that your Booking has been cancelled. 5.2. If you cancel your Booking, the cancellation fees will include the total Scheduled Payments due to us for your Booking by the date of cancellation. You agree to pay us any Scheduled Payments that are due but unpaid at the point that you cancel your Booking. 5.3. In addition to the cancellation fees in clause 5.2, depending on the period of time between our receiving your written instruction to cancel your booking and the date of the event, you will owe the following cancellation fees: 5.3.1. £2,000 (excluding VAT) if we receive your written instruction to cancel less than 3 calendar months but more than 8 weeks before the date of the event, or; 5.3.2. the balance showing on the final catering invoice if we receive your written instruction to cancel at or less than 8 weeks before the date of the event and the final invoice has been issued. 5.4. Notwithstanding clauses 5.2 and 5.3 , if at any time we receive a replacement Booking for the cancelled date following cancellation by you, we will refund to you any Catering Fees and cancellation fees we have received from you, less the Cancellation Costs. 5.5. It is your responsibility to notify your Suppliers of any cancellation. Please note that notifying your Suppliers of a cancellation does not cancel your Booking. 5.6. Upon cancellation of your Booking, we will issue an invoice to you for any amounts due in accordance with this clause 5 which shall be payable within 14 days of the date of the invoice. Any subsequent refunds due to you pursuant to clause 5.4 will then be made within 14 days by us following completion of the event for a replacement Booking.

  • Cancellation of Warrant This Warrant shall be canceled upon the Exercise of this Warrant, and, as soon as practical after the Date of Exercise, Holder shall be entitled to receive Common Stock for the number of shares purchased upon such Exercise of this Warrant, and if this Warrant is not exercised in full, Holder shall be entitled to receive a new Warrant (containing terms identical to this Warrant) representing any unexercised portion of this Warrant in addition to such Common Stock.

  • NO RIGHT OF SURVIVORSHIP NON-TRANSFERABILITY You acknowledge, understand and agree that your account is non-transferable and any rights to your ID and/or contents within your account shall terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted.

Notice of such cancellation shall be given to the Bank in writing, or by cable or telephone confirmed in writing.
