Capitalization and Valid Issuance of Purchased Common Units. (a) As of the date of this Agreement, and prior to the issuance and sale of the Purchased Common Units and the issuance of Common Units pursuant to the Acquisitions, the issued and outstanding partnership interests of Eagle Rock consist of 36,741,880 Common Units, 20,691,495 Subordinated Units, 844,551 General Partner Units, and the Incentive Distribution Rights (each as defined in the Limited Partnership Agreement). All of the outstanding Common Units, Subordinated Units, General Partner Units, and the Incentive Distribution Rights have been duly authorized and validly issued in accordance with applicable Law and the Limited Partnership Agreement and are fully paid (to the extent required by applicable Law and under the Limited Partnership Agreement) and non-assessable (except as such non-assessability may be affected by Section 17-607 of the Delaware Limited Partnership Act (the “Delaware LP Act”).
