Ceasing Operations. Ceasing business operations, having a receiver appointed for all or substantially all of Grantee’s assets, making a general assignment for the benefit of creditors, being declared insolvent by a court of competent jurisdiction or becoming the subject, as a debtor, of a proceeding under the federal bankruptcy code, if such proceedings are not dismissed on or before the ninetieth day after filing.

Ceasing Operations. Upon the effective date of expiration or termination of this Agreement, Contractor shall cease all operations of work being performed by Contractor or any of its sub-contractors pursuant to this Agreement.

Ceasing Operations. AFM shall not have any ongoing obligation to provide the Avo Communicator Portal; thus, AFM may cease to operate the Avo Communicator Portal at any time and for any reason. Without limiting the foregoing, AFM may cease to provide Your Portal in the event of: (i) any dispute or termination of AFM’S relationship with You (ii) any dispute concerning ownership or control of Your Portal account; (iii) use of Your Portal account in a manner that AFM, in its sole discretion, considers improper or unacceptable, or (iv) any violation by You of the terms of this Agreement.   • Ongoing Operations From the Effective Date through Closing:

  • Business Operations Company will provide all necessary equipment, personnel and other appurtenances necessary to conduct its operations. Company will conduct its business operations hereunder in a lawful, orderly and proper manner, considering the nature of such operation, so as not to unreasonably annoy, disturb, endanger or be offensive to others at or near the Premises or elsewhere on the Airport.

  • Banking Operations Enter into any new material line of business; change its material lending, investment, underwriting, risk and asset liability management and other material banking and operating policies, except as required by applicable law, regulation or policies imposed by any Governmental Authority; or file any application or make any contract with respect to branching or site location or branching or site relocation.

To ensure Safe Operations, the local operating rules of the ITO(s) shall govern the connection and disconnection of generation with NTO transmission facilities. Safe Operations include the application and enforcement of rules, procedures and protocols that are intended to ensure the safety of personnel operating or performing work or tests on transmission facilities.

  • Suspended Operations If the University President or designee determines that the public health, property or safety is jeopardized and it is advisable due to emergency conditions to suspend the operation of all or any portion of the University, the following will govern represented individuals: A. When prior notice has not been given, represented individuals released until further notice after reporting to work will be compensated for hours worked on the first day of suspended operations. B. Represented individuals who are not required to work during suspended operations may request and may be granted a schedule change during their workweek. C. Represented individuals who are required to work during suspended operations will receive their regular hourly rate for work performed during the period of suspended operation. Overtime worked during suspended operations will be compensated in accordance with Section 5.3, above.

  • Co-operation Each Party acknowledges that this ESA must be approved by the Department and agree that they shall use Commercially Reasonable efforts to cooperate in seeking to secure such approval.
