Certificates and Policies of Insurance. (a) Certificates of the insurance coverages as described above shall be delivered to Owner on or before the Commencement Date, evidencing that such insurance is in force, together with copies of the policies (certified as true, correct, and complete by the insurer) of insurance to which such certificates refer. Within fifteen (15) calendar days prior to expiration of any such insurance coverage, new certificates shall be delivered, certified as aforesaid, evidencing renewal of such insurance coverage. (b) All certificates must contain waiver of subrogation clauses and must provide that if such policies are canceled or changed during the period of coverage as cited therein in such manner as to affect the insurance coverage, written notice will be mailed to Owner and Agent by registered or certified mail delivered at least thirty (30) calendar days prior to such cancellation or change (and such certificates shall include no language absolving the issuer thereof from liability for its failure so to provide such notice).

Certificates and Policies of Insurance. A Certificate of Insurance and a complete form of the policy of insurance evidencing the required coverage and limits of liability must be furnished to Yahoo before HortonWorks provides any Yahoo Services, but in no event later than forty-five (45) days after the Closing Date, and at such other times as requested by Yahoo. Yahoo may provide specific requirements for the form of policy and may reject in its sole discretion any form of policy which it deems unsuitable. HortonWorks or its insurance carrier(s) will provide Yahoo thirty (30) days written notice prior to cancellation or intent not to renew any insurance coverage(s) required to be maintained by the Agreement. All insurance policies will be written by financially viable companies rated by A. M. Best as A-VII or better and duly licensed and authorized to do business in the state, province or territory in which HortonWorks is located. Insurance coverage will provide coverage for claims, liabilities, or damages related to or resulting from the Yahoo Services and receipt of the Development Cluster Services, and Yahoo will be named as an additional insured under HortonWorks’ policies for comprehensive general liability insurance and professional liability insurance. Policy deductibles will not be more than $100,000, and HortonWorks will notify Yahoo of the amount of any applicable deductibles. HortonWorks agrees to indemnify and hold Yahoo harmless for covered losses and/or occurrences that fall within any applicable deductible. HortonWorks will furnish copies of any endorsements subsequently issued which amend or renew coverage or limits required to be maintained by the Agreement within thirty (30) days of the effective date of such renewal coverage or modification.   • Certificates of Insurance Prior to commencing under this Contract, Supplier must furnish to Sourcewell a certificate of insurance, as evidence of the insurance required under this Contract. Prior to expiration of the policy(ies), renewal certificates must be mailed to Sourcewell, 000 00xx Xxxxxx Xxxxxxxxx, X.X. Box 219, Staples, MN 56479 or sent to the Sourcewell Supplier Development Administrator assigned to this Contract. Certificates of Insurance shall:  Be in the form acceptable to OGS (i.e. an Xxxxx form);  Disclose any deductible, self-insured retention, aggregate limit or exclusion to the policy that materially changes the coverage required by this solicitation or any Contract resulting from this solicitation;  Be accompanied by an Additional Insured and a Waiver of Subrogation Endorsement as required herein;  Refer to this solicitation and any Contract resulting from this solicitation by number and any other attachments on the face of the certificate; and  Be signed by an authorized representative of the insurance carrier or producer. Only original documents (Certificates of Insurance, endorsements & other attachments) or electronic forms, which can be directly traced back to the insurance carrier, agent or broker via e- mail distribution or similar means, will be accepted.
