Cessation or Change of Business. 15.15.1. The Borrower or XXX ceases to carry on all, or a substantial part of, its respective business as contemplated on the Original Agreement Date for a period of 30 (thirty) or more consecutive days.
15.15.2. The investment (directly or indirectly) in real-estate ceases to be the primary business of XXX.
15.15.3. The value of all income producing real estate ceases at any time to comprise more than 50% (fifty percent) of the total assets of the Borrower (as appearing in the balance sheet in the Borrower’s quarterly or annual financial statements).

The Borrower or any Material Subsidiary ceases, or threatens to cease, to carry on the whole of its business or a part of its business which is material in the context of the Borrower and the Material Subsidiaries (taken as a whole) except as a result of any disposal or other transaction allowed under this Agreement.

15.15.4. The Borrower shall, at any time that any shares of FCR are pledged in favour of the Security Trustee under the Finance Documents, cease to control FCR.

Save as permitted under this Agreement, any Obligor or Senior Obligor (i) ceases to carry on all or a substantial part of its business, (ii) changes all or a substantial part of its business, or (iii) agrees to effect its dissolution or liquidation. The Parties expressly acknowledge that a Merger between Obligors or Senior Obligors or the capital in kind of Telecinco to be subscribed by Sogecable through the delivery to Telecinco of all the shares in Sogecuatro does not constitute a cessation or change or business for the purposes of this Clause 22.11.
