CESSION Sample Clauses

CESSION. 23.1 Upon written notice to the Supplier/Service Provider, Transnet shall be entitled: a) to appoint Transnet’s financier of the Goods/Services as first payer under this Agreement, without transferring the ultimate responsibility for payment which will remain with Transnet; and b) to cede, assign and transfer its right, title and interest in the Goods/Services to such financier as part of the funding consideration for the Goods/Services. 23.2 The Supplier/Service Provider is not entitled to cede, delegate, assign, Subcontract or in any other manner dispose of any of its rights or obligations in terms of this Agreement without the prior written consent of Transnet, which consent shall not be withheld or delayed unreasonably.

CESSION. 24.1 Upon written notice to the Service Provider, Transnet shall be entitled to cede, assign or novate this Agreement to any third party. 24.2 The Service Provider is not entitled to cede, delegate, assign, Subcontract or in any other manner dispose of any of its rights or obligations in terms of this Agreement without the prior written consent of Transnet, which consent shall not be withheld or delayed unreasonably.
CESSION. The Service Provider shall not be entitled to cede, transfer or make over any rights and/or duties in terms of this agreement to any third party without the prior written consent of the Municipality and which consent shall not be unreasonably withheld.
CESSION. The customer shall not cede or assign this contract or any part thereof or any benefit, obligation or interest herein or hereunder without the prior written consent of the Municipality.
CESSION. The Purchaser shall not sell, assign, cede or dispose of the Purchaser’s rights under this Contract without the prior written consent of the Seller. In the event of the Purchaser being an artificial person, such as a company, close corporation or trust, the Purchaser shall not agree to sell or otherwise alienate the shares, members interest or beneficial interest (as the case may be) in such Purchaser prior to Date of Transfer without the prior written consent of the Seller, which consent the Seller may in its sole and absolute discretion grant or refuse.
CESSION. 21.1 The Post Office shall be entitled to cede and assign any of its rights and obligations in terms of this Agreement to any third Party.
CESSION. 17.1 AMC may without notice cede and transfer any rights, titles, interests and obligations in terms of this agreement to a third party and you agree to be bound by such a cession. 17.2 You may not cede any rights or delegate any obligations in terms of this agreement to a third party without AMC’s written approval.
CESSION. The student will not be entitled to cede, assign, transfer or delegate any of his/ her rights or obligations under this Agreement without the prior written consent of NSFAS. However, NSFAS will be entitled at its absolute discretion and at any time to cede, assign, transfer or delegate any or all of its rights and obligations under this agreement to any natural or juristic person of its choice.
CESSION. Neither party shall cede or assign any of its rights or obligations in terms of the Contract without the prior written consent of the other party: provided that nothing contained herein shall prevent us from making use, at our discretion, of independent contractors to perform aspects of the Goods and Related Services.
