Cession, Delegation and Assignment. Save as otherwise expressly provided for in this Agreement, no Party shall be entitled to cede, delegate or otherwise assign or transfer any of its rights, obligations and/or interest in, under or in terms of this Agreement to any third party without the prior written consent of the other Parties.

Notwithstanding that the Company may elect to consent to a request contemplated above, such consent by the Company shall not relieve the Subscriber of any of the Subscriber’s obligations under this Agreement. The Company shall be entitled, without reference to the Subscriber, to cede, delegate or assign all or any of its rights and/or obligations under this Agreement, either absolutely or as collateral security to any third-party, and on any such cession, assignment and/or delegation taking place, the consent of the Subscriber shall not be required in respect of any cession, assignment and/or delegation in terms of this clause, merely on the premise that such cession, assignment and/or delegation would result in a splitting of claims to which the Subscriber hereby irrevocably consents.
