Obligations of the Lessor. 6.1 The lessor shall be obliged to hand over the leased land to the lessee, within one month period of time from the date this lease agreement is signed, free from any obstructions and other impediments that may hinder the activities of the project.
6.2 The lessor, considering the fact that this is a major investment operation, shall be obliged to provide and execute special privileges, to the lessee, such as exemptions from taxation and import duties on capital goods, and repatriation of capital and profits in accordance with the laws of Ethiopia that are proclaimed for foreign companies.
6.3 The lessor shall ensure the lessee that there are no legal or other limitations whatsoever that may restrict the lessee from executing its duties as far as clearing the land or implementing the objectives or other appropriate auxiliary duties that are covered under this agreement.
6.4 The lessor shall arrange to the lessee to use facilities of federal government and regional state administration research centers with fee for the purpose of soil testing and surveying.
6.5 If the lessee, in accordance with the obligations of this contract, fails to develop the leased land within the time limits stated in this contract or causes damage to the natural resources or becomes unable to pay rental fees timely, the lessor may decide to terminate the lease contract due to the failures of the lessee stated above by providing a six month prior notice of warning. In the absence of such notice to the lessee, the lessor may extend the time limit for another six month period of time.
6.6 The lessor shall be obliged to cooperate (in providing adequate security), free of charge, so that the lessee may develop the land peacefully free from any trouble, riot, or disturbance other than force majeure.
Obligations of the Lessor. The keys of the leased property shall be handed over to LESSEE on the premises by a person appointed by LESSOR from 4.00 pm of the first day of the lease and returned to the person appointed by LESSOR by 10.00 am on the last day of the lease, after checking the condition of the leased property.
Obligations of the Lessor. The Lessor agrees to accept and perform the following:
Obligations of the Lessor. 4.1. The owner is obliged to provide the Lessee with a technically and mechanically sound boat. In case of technical or mechanical failures of the boat, they must be recorded.
4.2. The Lessor provides 10 liters (Tuna 422cc) and/or 5 liters (Kasse) of petrol per boat per day.
4.3. The Lessor is obliged to provide technical guidance on the use and operation of the boat and on safety.
4.4. The Lessor is obliged to provide life-saving equipment (life jackets).
4.5. After the signing of this Agreement, the Lessor is obliged to make the boat available to the Lessee for the term specified in this Agreement.
Obligations of the Lessor. 1. The booked yacht will be handed over to the Charterer clean, ready to sail, seaworthy and with full fuel tank.
2. If the booked yacht cannot be handed over on the date agreed in the rental contract (e.g. due to average, unseaworthiness as a result of an accident during the previous charter etc.), the Lessor can provide an equivalent replacement yacht. Any warranty claims shall remain with the Charterer if the replacement yacht is defective.
Obligations of the Lessor. In addition to any other obligations contained in this agreement, the lessor shall be responsible:
11.1 For the payment of assessment rate and fixed municipal levies not referred to in 10.4 above, including all related increases;
11.2 For insuring the premises, including the buildings as provided for in clause 13 below;
11.3 For installation and maintenance of mechanical and fire services equipment, including fire detection equipment, fair wear and tear excepted, as further stipulated in clause 14 hereof;
11.4 For landscape maintenance of the premises;
11.5 to provide, at the Lessor’s expense, all electric, fluorescent, and incandescent light bulbs required on the property;
11.6 For the maintenance of, and for all repairs and replacements becoming necessary from time to time in or to, the roofs and outside walls of the buildings including the maintenance and repairs of the structure of the buildings including the maintenance and repair of the structure of the buildings, and all systems, works and installations contained therein;
11.7 For maintaining in good order and condition the exterior, roof, gutters and down-pipes of the premises and shall make good any structural defects, other that damage caused by the lessee, ( for which the lessee shall be liable, and in respect of which the provisions of this agreement shall apply);
11.8 For normal maintenance and repair (including painting) of both the exterior and interior of the premises, including the cleaning of the exterior of the premises as well as windows, in high rise building;
11.9 For the operation (including maintenance and repairs) of the air-conditioning system and the lifts during normal office hours or during such times as may be agreed upon;
11.10 For water and electricity consumption to the extent that these are not separately metered for the occupant;
11.11 For municipal rates (existing and future) levied on ownership (including rates increases)
11.12 For installation and maintenance of the fire extinguishing and fire detection equipment as stipulated in clause 13; and
11.13 For the replacement of floor covering (carpeting etc) at the expiry of their agreed lifetime.
11.14 For submission of valid annual tax certificate;
11.15 Compliance with Occupational Health and Safety and Act
11.16 Compliance with Department of Labour applicable standards annually-Certification of Occupation
11.17 Signing of facilities Management performance schedule specifying maintaining standards and obligations
Obligations of the Lessor. The Lessor must (art.1575 of the Italian Civil Code):
1. deliver the rented property to the lessee in a good state of maintenance;
2. keep it in a state to be used for the agreed use;
3. guarantee the use of the property to the Lessee during the lease.
Obligations of the Lessor. 4.1. Provide to the Lessee, at the latter’s written request, copies of documents certifying or confirming the title to the Premises: Certificate of title, up-to-date extract from the Unified Register of Titles to Real Estate, certificate from the Technical Inventory Bureau, cadastral passport of the premises.
4.2. Within an agreed period after the Parties sign this Agreement, transfer to the Lessee the Premises under the Premises Acceptance Certificate (Appendix 3).
4.3. During the Lease Term, ensure conditions for the normal operation of all life support systems of the Building.
4.4. Keep the Building (except for the Premises) in a proper sanitary condition.
4.5. Promptly inform the Lessee about any damage to, or destruction of, the Building becoming known to the Lessor, which may directly affect the use of the Premises by the Lessee.
4.6. Promptly take all measures necessary to eliminate the consequences of any accidents.
Obligations of the Lessor. The Lessor agrees to comply with the following terms and conditions:
Subsection 1 The Lessor shall ensure the good condition of the public facilities of the building (including illumination, air-conditioning, automatic smoke sensors and spiracles, restrooms and elevators, etc.), and shall assign personnel for maintenance immediately after the receipt of notice from the Lessee in case of any malfunction.
Subsection 2 The Lessor shall implement a strict 24 hours security policy so as to ensure the safety of the building.
Subsection 3 If the Lessee is unable to reasonably use the Premises due to a quality issue of the same, the Lessor shall be liable for the relevant losses suffered by the Lessee (except for the losses caused by an event under Article 9 of the Contract or the quality problem as a result of the decoration carried out by the Lessee).
Obligations of the Lessor. The Lessor undertakes to do his utmost to deliver the vehicle at the agreed time and to ensure that it meets the requirements made upon it.
