CHANGE IN LOCATION OF CHIEF. EXECUTIVE OFFICE; INVENTORY AND EQUIPMENT WITH BAILEES. Relocate its chief executive office to a new location without providing 30 days prior written notification thereof to Foothill and so long as, at the time of such written notification, Borrower provides any financing statements or fixture filings necessary to perfect and continue perfected Foothill's security interests and also provides to Foothill a Collateral Access Agreement with respect to such new location. The Inventory and Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Foothill's prior written consent.

Without thirty (30) days prior written notification to Agent, relocate its chief executive office to a new location, unless, at the time of such written notification, Guarantor provides any financing statements or fixture filings necessary to perfect and continue perfected the security interests of Agent for the benefit of the Lender Group, and also provides to Agent a landlord's waiver in form and substance satisfactory to Agent. The Inventory and Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Agent's prior written consent.

Relocate its chief executive office to a new location without providing 30 days prior written notification thereof to Agent and so long as, at the time of such written notification, Borrowers provide any financing statements or fixture filings necessary to perfect and continue perfected the Lien of Agent (for the benefit of the Lender Group) and also provides to Agent a Collateral Access Agreement with respect to such new location. The Inventory and Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Agent's prior written consent.
CHANGE IN LOCATION OF CHIEF. Executive Offices, Jurisdiction of Organization and Assets. The following new Section 6.19 is added to the Credit Agreement:

Relocate the chief executive office, or change the jurisdiction of organization, of Borrower or any Subsidiary without first giving the Administrative Agent thirty (30) days' prior written notice of any relocation or change. Borrower shall not move, not shall it permit any Subsidiary to move, any of its respective Property (other than (a) motor vehicles, (b) laptop and other personal computers, pagers, cell phones and other information technology equipment that does not have a fair market value (in the aggregate) greater than $250,000 and (c) other Property that does not have a fair market value (in the aggregate) greater than $100,000) to a jurisdiction other than any one of the jurisdictions identified in Schedule 6.19 without first giving the Administrative Agent ten (10) calendar days' prior written notice of any such proposed relocation, other than to the extent that any such Property has been sold pursuant to a sale in the ordinary course of business permitted hereunder. Despite the foregoing, other than Investments permitted under Section 6.15, neither Borrower nor any of its domestic Subsidiaries shall move or relocate any portion of its respective Property having a fair market value (as reasonably determined by the Administrative Agent) in excess of $500,000 in the aggregate to any foreign jurisdiction (whether or not specified in Schedule 6.19) without the prior written consent of the Requisite Lenders.

In the case of any Borrower or Guarantor, relocate its chief executive office to a new location without Administrative Borrower providing 30 days prior written notification thereof to Agent and so long as, at the time of such written notification, the applicable Borrower provides any financing statements or fixture filings necessary to perfect and continue perfected the Agent's Liens and (in the case of any Borrower other than HH UK or any Guarantor) also provides to Agent a Collateral Access Agreement with respect to such new location. The Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Agent's prior written consent.
CHANGE IN LOCATION OF CHIEF. EXECUTIVE OFFICE; INVENTORY AND EQUIPMENT WITH BAILEES. Relocate its chief executive office to a new location without providing 30 days prior written notification thereof to Collateral Agent and Agent and so long as, at the time of such written notification, such Obligor provides any financing statements or fixture filings necessary to perfect and continue perfected the Collateral Agent's Liens. Except for immaterial (less than $10,000,000 in market value as reasonably determined by Collateral Agent) amounts of Inventory and Equipment that is stored with a bailee, warehouseman, or similar party in the ordinary course of business, no Inventory or Equipment shall at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Collateral Agent's prior written consent.

Borrower covenants and agrees that it will not, and will not permit Guarantor to, without thirty (30) days prior written notification to Foothill, relocate its or Guarantor's chief executive office to a new location and so long as, at the time of such written notification, Borrower or Guarantor, as applicable, provides any financing statements or fixture filings necessary to perfect and continue perfected Foothill's security interests and also provides to Foothill a landlord's waiver in form and substance satisfactory to Foothill. The Inventory and Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Foothill's prior written consent.

Relocate the chief executive office of Borrower or any Significant Subsidiary without first giving the Agent thirty (30) days prior written notice of any proposed relocation. Borrower shall not move any of its Property to a jurisdiction other than any one of the jurisdictions identified in Schedule 6.21 without first giving the Agent ten (10) calendar days prior written notice of any such proposed relocation.
