Changes in Laws or Regulations. This Agreement may be terminated by any party on or after the ninetieth (90th) day following the giving of notice by such party that such party's performance is rendered (through no act or omission of such party) illegal or impermissible for that party due to changes in laws or regulations applicable to the terminating party or a determination by a governmental authority having jurisdiction over such party.

Changes in Laws or Regulations. In the event of changes in applicable laws or regulations after the Effective Date of the Agreement that impose taxes, fees, or costs on any Services or other costs in connection with the Services, any project or compensation therefore, such new taxes, fees, or costs shall be invoiced to and paid by Client as a Reimbursable Expense. Should such taxes, fees, or costs be imposed, they shall be in addition to Ulteig’s estimated total compensation.
Changes in Laws or Regulations. The City or the Grantee may seek modification of this Ordinance due to changes in federal or state laws or regulations in accordance with the following procedures: (1) The party seeking modification shall serve the other party notice of a request for modification under this Section. The notice shall specify: (I) the changes in laws or regulations on which the modification request is based; and (ii) the desired modifications. (2) Within 60 days of delivery of the notice, representatives of the City and the Grantee shall meet to develop mutually agreeable modifications to the Ordinance. Any mutually agreeable modifications shall be presented to the City Commission as recommendations for modification to the Ordinance under this Section. (3) If the City and the Grantee cannot develop a mutually agreeable recommendation for modification within a reasonable time, then the City and the Grantee shall submit to the City Commission their respective proposals for modification under this Section. (4) The City Commission shall review the proposals and comments of interested parties at a public hearing. The City Commission shall then issue a decision concerning any modification to the Ordinance under this Section. (5) The Grantee may appeal under applicable law a denial of a modification proposal under this Section.
Changes in Laws or Regulations. 11.2.1 Either party may request a Change but neither party will be obliged to agree to a Change requested by the other party (except that a party will not refuse a Change requested by the other party which is necessary to allow the other party to comply with any laws or regulations that apply to the other party), but subject to and contingent on the parties first reaching agreement on the terms on which they will implement the requested Change. 11.2.2 For the avoidance of doubt, and save for as provided in the Services Schedule, MF Global will not be responsible for advising MGP on any changes in the laws or regulations that apply to MGP.

  • Other Regulations Borrower is not subject to regulation under the Investment Company Act of 1940, the Public Utility Holding Company Act of 1935, the Federal Power Act, the Interstate Commerce Act, any state public utilities code or to any other Governmental Rule limiting its ability to incur indebtedness.

  • Sanctions Laws and Regulations The Borrower shall not, directly or indirectly, use the proceeds of the Loans or any Letter of Credit or lend, contribute or otherwise make available such proceeds to any Guarantor, Subsidiary, Unconsolidated Affiliate or other Person (i) to fund any activities or business of or with any Designated Person, or in any country or territory, that at the time of such funding is itself the subject of territorial sanctions under applicable Sanctions Laws and Regulations, (ii) in any manner that would result in a violation of applicable Sanctions Laws and Regulations by any party to this Agreement, or (iii) in any manner that would cause the Borrower, the Guarantors or any of their respective Subsidiaries to violate the United States Foreign Corrupt Practices Act. None of the funds or assets of the Borrower or Guarantors that are used to pay any amount due pursuant to this Agreement shall constitute funds obtained from transactions with or relating to Designated Persons or countries which are themselves the subject of territorial sanctions under applicable Sanctions Laws and Regulations. Borrower shall maintain policies and procedures designed to achieve compliance with Sanctions Laws and Regulations.
