CHARACTER OF OPERATIONS. Tenant will not conduct any auction, fire, bankruptcy or closeout sales, provided, however, that this provision shall not preclude the conduct of periodic seasonal promotional or clearance sales. Tenant will not utilize any unethical method of business operation. Tenant will not use or permit the use of any apparatus for sound reproduction or transmission of any musical instrument in such manner that the sounds so reproduced transmitted or procured shall be unreasonably audible beyond the interior of the Premises; will not cause or permit objectionable odors to emanate or be unreasonably dispelled from the Premises; and will use its best efforts to prevent the parking or standing, outside of the Premises, of trucks, trailers, or other vehicles or equipment except when actually engaged in loading or unloading. Tenant will immediately notify Landlord of the occurrence, or threat, of any picketing, hand billing, protest, boycott of any kind whatsoever with respect to the Premises and Tenant will cooperate with Landlord as may be necessary to prevent, stop or avoid any picketing, hand billing, protest, boycott within the Premises or in the common areas of the shopping center. Tenant will immediately notify Landlord of any complaint, charge, petition or claim filed against Tenant with any federal, state or local court or governmental authority which under reasonable commercial standards creates any adverse effect on Landlord's operations.
CHARACTER OF OPERATIONS. In order to establish and preserve the character of the Shopping Center as a high quality retail development, TENANT will not conduct any type of auction, fire, bankruptcy, close out, distress, liquidation or going-out-of-business sales, nor conduct its business in the manner which is commonly known and accepted in the retail trade as a "wholesale store" or "outlet store" or "surplus store;" provided, however, that this provision shall not preclude periodic seasonal, promotional or clearance sales nor be deemed to give LANDLORD the right to approve or disapprove the price at which TENANT will offer its merchandise for sale.
CHARACTER OF OPERATIONS. In order to establish and preserve the character of the Shopping Center in accordance with the standards from time to time imposed by the Landlord on the Shopping Center, the Tenant will not conduct any auction, fire, bankruptcy or closeout sales, nor conduct its business in the manner which is commonly known and accepted in the retail trade as a "wholesale store or "outlet store" or "surplus store" provided, however, that this provision shall not preclude the conduct of periodic seasonal, promotional or clearance sales nor be deemed to give the Landlord a right to approve or disapprove the price at which the Tenant shall offer its merchandise for sale. The Tenant will not utilize any unethical method of business operation. The Tenant will not use or permit the use of any equipment or apparatus producing, reproducing or transmitting sound which is audible beyond the interior of the Demised Premises; will not cause or permit objectionable odors to emanate or be unreasonably dispelled from the Demised Premises; will not load or unload nor permit the loading or unloading of merchandise, supplies or other property through any of the doors of the Demised Premises that are open for use by the public or customers or through any other doors except at the rear of the Demised Premises and from the area which the Landlord may designate from time to time as Service Area; and will use its best efforts to prevent the parking or standing, outside of or within any such Service Area, of trucks, trailers, or other vehicles or equipment except when actually engaged in such loading or unloading.

Anything to the contrary in this section 8.03 notwithstanding, Tenant shall be permitted to receive its deliveries for its inventories and supplies in a reasonably commercial manner, as the same are conducted by the food industry.
CHARACTER OF OPERATIONS. No Occupant will conduct any auction, fire, bankruptcy, or closeout sale nor conduct its business in a manner which is commonly know and accepted in a retail trade as a discount store, wholesale store, outlet store or surplus store, provided, however, this provision shall not be precluded the conduct of periodic, seasonal, promotional or clearance sales nor shall it be deemed to give the Landlord a right to approve or disapprove the price at which any business offers its merchandise for sale.

  • Cessation of Operations Any cessation of operations by Borrower or Borrower admits it is otherwise generally unable to pay its debts as such debts become due, provided, however, that any disclosure of the Borrower’s ability to continue as a “going concern” shall not be an admission that the Borrower cannot pay its debts as they become due.

  • Control of Operations Without in any way limiting any party’s rights or obligations under this Agreement, the parties understand and agree that (a) nothing contained in this Agreement shall give Parent or the Company, directly or indirectly, the right to control or direct the other party’s operations prior to the Effective Time and (b) prior to the Effective Time, each of the Company and Parent shall exercise, consistent with the terms and conditions of this Agreement, complete control and supervision over its operations.
