CHARACTER OF SERVICES. Seller shall furnish all equipment, personnel, and material sufficient to perform the Services in accordance with the Contract expeditiously and efficiently. Time is of the essence in the performance of the Services.
CHARACTER OF SERVICES. Consultant shall furnish all equipment, personnel, and material sufficient to perform the Services in accordance with the Contract expeditiously and efficiently during the hours and shifts and at the locations designated by Tri-State. Time is of the essence in the performance of the Services and Consultant shall abide by all applicable project schedules in its performance.
CHARACTER OF SERVICES. Consultant shall perform as an independent contractor all services under this Agreement with the professional skill and care ordinarily provided by competent architects, engineers, or landscape architects practicing under the same or similar circumstances and professional license. Further, Consultant shall perform as an independent contractor all services under this Agreement as expeditiously as possible as is prudent considering the ordinary professional skill and care of a competent engineer or architect. Provided, however, if this is a construction contract for architectural or engineering services or a contract related to the construction or repair of an improvement to real property that contains architectural or engineering services as a component part, the architectural or engineering services must be performed with the professional skill and care ordinarily provided by competent architects or engineers practicing under the same or similar circumstances and professional license. Consultant shall provide professional services necessary for the work described in Attachment “A,” and incorporated herein and made a part hereof as if written word for word; provided, however, that in case of conflict in the language of Attachment “A” the terms and conditions of this Agreement shall be final and binding upon both parties hereto.

Supplier, as an independent contractor, will furnish all equipment, personnel and material sufficient to provide the Services expeditiously and efficiently during as many hours per shift and shifts per week and at such locations as UC may so require and designate.

Consultant will perform as an independent contractor all services under this Agreement to the prevailing professional standards consistent with the level of care and skill ordinarily exercised by members of the architectural, engineering or landscape architectural profession(s), both public and private, currently practicing in the same locality under similar conditions including but not limited to the exercise of reasonable, informed judgments and prompt, timely action. If Consultant is representing that it has special expertise in one or more areas to be utilized in this Agreement, then Consultant agrees to perform those special expertise services to the appropriate local, regional and national professional standards. Consultant will provide professional services necessary for the work described in Attachment “A,” and incorporated herein and made a part hereof as if written word for word; provided, however, that in case of conflict in the language of Attachment “A” the terms and conditions of this Agreement shall be final and binding upon both parties hereto.

It is the mutual intent of the parties that during the Term, Dr. Roth will act strictly in a professional consulting capacity as ax xxxxxxndent contractor for all purposes, including without limitation, federal, state and local withholding, employment and payroll tax purposes, and in all situations and will not be considered an employee of the Company. During the Term, Dr. Roth will serve the Company faithfully and to the best of his abixxxx xxx will provide such services and perform such tasks as may be reasonably requested of Dr. Roth in accordance with Section 4.1.
