Charges for Which Tenant Is Directly Responsible. Tenant shall pay, 10 days before delinquency, any taxes levied against Tenant’s equipment, furniture, fixtures and other personal property located in or about the Premises. If any such taxes are levied against Landlord or its property (or if the assessed value of Landlord’s property is increased by the inclusion therein of a value placed upon such equipment, furniture, fixtures or other personal property of Tenant), Landlord may pay such taxes (or such increased assessment) regardless of their (or its) validity, in which event Tenant, upon demand, shall repay to Landlord the amount so paid. If the Leasehold Improvements (defined in Section 7.1) are assessed for real property tax purposes at a valuation higher than the valuation at which tenant improvements conforming to Landlord’s “building standard” in other space in the Building are assessed, the Taxes levied against Landlord or the Property by reason of such excess assessed valuation shall be deemed taxes levied against Tenant’s personal property for purposes of this Section 4.5. Notwithstanding any contrary provision hereof, Tenant shall pay, 10 days before delinquency, (i) any rent tax, sales tax, service tax, transfer tax or value added tax, or any other tax respecting the rent or services described herein or otherwise respecting this transaction or this Lease; and (ii) any taxes assessed upon the possession, leasing, operation, management, maintenance, alteration, repair, use or occupancy by Tenant of any portion of the Property.

Charges for Which Tenant Is Directly Responsible. Tenant shall reimburse Landlord within thirty (30) days following receipt of Landlord’s written demand for any and all governmental taxes or assessments required to be paid by Landlord for: (i) taxes attributable to the cost or value of Tenant’s equipment, furniture, fixtures and other personal property (which does not constitute Tenant Improvements or Alterations) located in the Premises; (ii) at Landlord’s election, taxes attributable to the amount that the market value of any tenant improvements made in or to the Premises by or for Tenant, is in excess of sixty and no/100 dollars ($60.00) per rentable square foot of the Premises (the “Threshold Value”); provided, if Landlord makes such election, Landlord shall reduce Tax Expenses by the total amount that would be reimbursed to Landlord assuming all other tenants of the Project with tenant improvements having a fair market value in excess of the Threshold Value made similar reimbursements; or (iii) such taxes as are assessed upon any document to which Tenant is a party transferring an interest or an estate in the Premises.

For purposes of clause (ii) of the preceding sentence, Landlord acknowledges that the cost or value of the Leasehold Improvements described in the Approved Space Plan (defined in Section 2.3 of Exhibit B) existing on the date hereof do not exceed do not exceed that of a Building-standard build-out.
