City’s Release. Excluding only the rights and obligations created by this Agreement and agreement identified in Paragraph 2 above, City, on behalf of itself, and to the fullest extent permitted by law fully and unconditionally releases, settles, and forever discharges Touchstone from all claims involved in or arising from or relating to the Dispute, which City now has or may have, or which City at any time in the future may have.

City’s Release. The City hereby releases, discharges and holds the School District harmless from any and all claims, liabilities, demands and causes of action, which it may have or claim to have against School District specifically related to fees previously contemplated for the use of the Joint Facilities prior to the date of this Agreement.
City’s Release. Except as otherwise provided herein, from and after the Closing Date, except with respect to (i) breach of EIDP’S obligations under this Agreement or (ii) fraud of EIDP, CITY, its representatives, successors, shareholders, partners, members, managers, directors, agents, and assigns (collectively, the “City Releasors”) do hereby release, acquit and forever discharge the Transferor Parties of and from any and all claims, demands, damages, suits, actions, causes of action, expenses, compensation, damages, medical expenses, costs, fees, commissions, interest, defenses, attorneys’ fees, professional fees, expert fees, litigation costs, lost profits, lost income, business loss, reputation loss, incidental damage, consequential damage, obligations, duties, personal injuries, agreements, punitive or exemplary damages, statutory damages, harm, or losses of any kind, at common law or by constitution, statute, treaty, executive order, rule, charter, regulation, public policy, ordinance, or other Law, whether federal, national, state, or local, whether known or unknown, asserted or unasserted, foreseen or unforeseen, foreseeable or unforeseeable, which any releasor had, now has, or may hereafter accrue against any of the Transferor Parties, based upon, or by reason of any matter, cause or thing whatsoever, to the extent caused by Hazardous Substances located within the Property as of the Closing Date (the “Released City Claims”). With respect to the Released City Claims, without in any way limiting the foregoing, the City Releasors hereby waive any and all rights and benefits that they now have, or in the future may have conferred upon them by virtue of any statute or common law principle which provides that a release does not extend to claims that a party does not know or suspect to exist at the time of such release, which if known, would have materially affected such release. In this connection, the City Releasors hereby acknowledge that factual matters now unknown to them may have given or may hereafter give rise to claims, demands, damage, suits, actions, causes of action, expenses, and the like that are presently unknown, unanticipated and unsuspected, and the City Releasors further agree that this release has been negotiated and agreed upon in light of that awareness, and it nevertheless hereby intends to release the transferor parties from the Released City Claims.
City’s Release. In exchange for Southwest performing the undertakings set out in Paragraph 2 of this Agreement, and for other valuable consideration, receipt and sufficiency of which is hereby acknowledged, the City hereby fully and forever releases Southwest, and its past, present and future founders, officers, agents, directors, employees, investors, stockholders, vendors, auditors, administrators, trustees, affiliates, divisions, subsidiaries, parents, predecessor and successor corporations, and assigns, and each of their respective spouses, agents, and representatives (the “Southwest Releasees”), from, and agrees not to sue concerning, or in any manner to institute, prosecute or pursue, or cause to be instituted, prosecuted, or pursued, any claim, duty, charge, audit, investigation, lawsuit, obligation, or cause of action relating to any matters of any kind under the Sick Leave Ordinance relating to Ground Personnel based at OAK, whether presently known or unknown, suspected or unsuspected, that it may possess against any of the Southwest Releasees arising from any omissions, acts, or facts that have occurred up until and including the Effective Date of this Agreement.
City’s Release. Upon final completion of the Project, the City agrees to fully and forever release and discharge PG&E and its officers, directors, employees and agents, from all actions, causes of action, damages and claims that arise from or are in any way related to the Action.

  • ADEA Release You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you have under the ADEA, and that the consideration given for the waiver and releases you have given in this Agreement is in addition to anything of value to which you were already entitled.   • Seller Release Effective as of the Closing, Seller, on behalf of itself, its Affiliates, and its and their respective partners, members, predecessors, directors, officers, employees, controlling persons, agents, representatives, successors and assigns (collectively, the “Seller Releasing Parties”), hereby unconditionally and irrevocably waives, releases, remises and forever discharges the Sale Entities and its and their respective partners, members, predecessors, directors, officers, employees, agents, representatives, successors and assigns (each, a “Releasee”) from any and all claims, demands and causes of action, whether known or unknown, liquidated or contingent, relating to or arising in connection with the operation of the businesses of the Sale Entities on or prior to the Closing Date; provided, however, that such release shall not operate to release any such Releasee (a) from any of the terms, conditions or other obligations under this Agreement or the Transition Services Agreement or (b) in the case of the Releasees who are or were directors, officers or employees of any Sale Entity or any of its respective Affiliates, for rights under indemnification provisions of the Organizational Documents of any such Sale Entity or Affiliate, as applicable, or directors’ or officers’ or other fiduciary liability insurance policies of any Seller Releasing Party in favor of any Releasees, and rights under any employment, stock option, bonus or other employment or compensation agreements or plans. Each of Seller, and its Affiliates acknowledges that it is aware that such Seller or Affiliate may hereafter discover facts different from or in addition to the facts which such Seller or Affiliate now knows or believes to be true with respect to the subject matter of this Agreement, but that such Seller or Affiliate intends that the general releases herein given shall be and remain in full force and effect, notwithstanding the discovery of any such different or additional facts. Seller shall, and shall cause its Affiliates to, refrain from, directly or indirectly, asserting any claim or demand or commencing any Action that it knows is directly conflicting with this Section 11.16.

  • Complete Release Executive agrees to release EDS from all claims or demands Executive may have against EDS, including, but not limited to, any claims related to Executive's employment with EDS or separation from that employment and any claims for attorney's fees and costs. This Agreement includes, without limitation, a release of any rights or claims Executive may have under the Age Discrimination in Employment Act, as amended, which prohibits age discrimination in employment; Title VII of the Civil Rights Act of 1964, as amended, which prohibits discrimination in employment based on race, color, national origin, religion or sex; the Americans with Disabilities Act, as amended, which prohibits discrimination against individuals with disabilities; the Fair Labor Standards Act, as amended, which regulates matters regarding compensation; the Family and Medical Leave Act, as amended, which regulates matters regarding certain types of leaves; or any other federal, state or local laws or regulations that in any way relate to the employment of individuals and/or prohibit employment discrimination of any form. This Agreement also includes, without limitation, a release by Executive of any related or unrelated wrongful discharge claims, contractual claims, tort claims or any other actions. This Agreement covers both claims that Executive knows about and those he/she may not know about. Executive expressly waives any right to assert after signing this Agreement that any claim, demand, obligation, or cause of action has through ignorance, oversight, or for any other reason, been omitted from the scope of Subsection 5 of Section III of this Agreement. Executive further promises never to file a lawsuit, demand, action or otherwise assert any claims that are released in Subsection 5 of Section III of this Agreement (excluding a lawsuit filed by Executive solely for purposes of challenging the validity of the Age Discrimination in Employment Act waiver). This Agreement does not include a release of (i) Executive's right, if any, to benefits Executive may be entitled to under any EDS plan qualified under Section 401(a) of the Internal Revenue Code, including the EDS Retirement Plan and EDS 401(k) Plan, and COBRA benefits pursuant to Internal Revenue Code section 4980B, (ii) any rights or claims Executive may have under the Age Discrimination in Employment Act which arise after the date Executive signs this Agreement, (iii) any rights pursuant to this Agreement, (iv) Executive's right, if any, to benefits Executive may be entitled to under the EDS Executive Deferral Plan, (v) any rights pursuant to any indemnification agreements between Executive and EDS, or (vi) Executive's right, if any, to benefits Executive may be entitled to under any applicable directors and officers or other liability insurance policies.

  • Press Releases The Company agrees that it will not issue press releases or engage in any other publicity, without the Representative’s prior written consent (not to be unreasonably withheld), for a period of twenty-five (25) days after the Closing Date. Notwithstanding the foregoing, in no event shall the Company be prohibited from issuing any press releases or engaging in any other publicity required by law, except that including the name of any Underwriter therein shall require the prior written consent of such Underwriter.

  • Release of Releasees ‌ (1) Upon the Effective Date, and in consideration of payment of the Settlement Amount, and for other valuable consideration set forth in the Settlement Agreement, the Releasors forever and absolutely release the Releasees from the Released Claims that any of them, whether directly, indirectly, derivatively, or in any other capacity, ever had, now have, or hereafter can, shall, or may have.

  • Pre-Release Subject to the further terms and provisions of this Section 2.10, the Depositary, its Affiliates and their agents, on their own behalf, may own and deal in any class of securities of the Company and its Affiliates and in ADSs. In its capacity as Depositary, the Depositary may (i) issue ADSs prior to the receipt of Shares (each such transaction a "Pre-Release Transaction") as provided below and (ii) Deliver Shares upon the receipt and cancellation of ADSs that were issued in a Pre-Release Transaction, but for which Shares may not yet have been received. The Depositary may receive ADSs in lieu of Shares under (i) above and receive Shares in lieu of ADSs under (ii) above. Each such Pre-Release Transaction will be (a) subject to a written agreement whereby the person or entity (the "Applicant") to whom ADSs or Shares are to be Delivered (1) represents that at the time of the Pre-Release Transaction the Applicant or its customer owns the Shares or ADSs that are to be Delivered by the Applicant under such Pre-Release Transaction, (2) agrees to indicate the Depositary as owner of such Shares or ADSs in its records and to hold such Shares or ADSs in trust for the Depositary until such Shares or ADSs are Delivered to the Depositary or the Custodian, (3) unconditionally guarantees to deliver to the Depositary or the Custodian, as applicable, such Shares or ADSs, and (4) agrees to any additional restrictions or requirements that the Depositary deems appropriate, (b) at all times fully collateralized with cash, United States government securities or such other collateral as the Depositary deems appropriate, (c) terminable by the Depositary on not more than five (5) Business Days' notice and (d) subject to such further indemnities and credit regulations as the Depositary deems appropriate. The Depositary will normally limit the number of ADSs and Shares involved in such Pre-Release Transactions at any one time to thirty percent (30%) of the ADSs outstanding (without giving effect to ADSs outstanding under (i) above), provided, however, that the Depositary reserves the right to disregard such limit from time to time as it deems appropriate. The Depositary may also set limits with respect to the number of ADSs and Shares involved in Pre-Release Transactions with any one person on a case by case basis as it deems appropriate. The Depositary may retain for its own account any compensation received by it in conjunction with the foregoing. Collateral provided pursuant to (b) above, but not the earnings thereon, shall be held for the benefit of the Holders (other than the Applicant).
