Claims and Investigations. There exist no pending or threatened claims, investigations (whether formal or informal), litigation, disputes, protests or other controversies involving the Borrowers or any Affiliate pertaining to or arising out of any contract with any Governmental Authority which, if adversely determined, would have a material adverse effect on the business, assets, operations or condition, financial or otherwise, of the Borrowers or any Affiliate. Neither the Borrowers nor any Affiliate has filed nor has any basis for filing any claims or demands for payment against the United States or any other party arising out of or in connection with any such contract, other than progress billings, public vouchers, and invoices submitted in the ordinary cxxxxx xx business.
Claims and Investigations. There are no actions, suits or claims (other than routine claims for benefits) pending or, to the Knowledge of the Company or any of its Subsidiaries, threatened with respect to (or against the assets of) any Employee Benefit Plan, nor, to the Knowledge of any Company or any of its Subsidiaries, is there a basis for any such action, suit or claim. No Employee Benefit Plan is currently under investigation, audit or review, directly or indirectly, by any Governmental Entity, and, to the Knowledge of the Company and each of its Subsidiaries, no such action is contemplated or under consideration by any Governmental Entity.

Neither any Borrower nor any Subsidiary has filed or contemplates the filing of any claims or demands for payment against the U.S. Government or any other party arising out of or in connection with any U.S. Government Contract, other than progress xxxxxxxx, public vouchers, and invoices submitted in the ordinary course of business.
Claims and Investigations. (i) It is a condition precedent to the Insurer’s liability to make any payment in respect of a Claim to which Clause 4.3(iv) is applicable, that the Company or the Insured gives written notice to the Insurer of such Claim as soon as practicable. For all other Claims under this policy the Company or the Insured shall give written notice to the Insurer as soon as practicable but this shall not be a condition precedent. In event of expiry of the Policy Period, notification must be given in any event no later than 90 days after the expiration of the Policy Period, or in relation to a Claim first made against the Insured or Investigation first commenced during the Discovery Period (if applicable) no later than 60 days after the expiration of the Discovery Period.
Claims and Investigations. (i) The Authorised Insured shall give written notice to the Insurer of a Claim or Investigation as soon as reasonably practicable. In the event of expiry of the Policy Period, notification must be given in any event no later than 90 days after the expiration of the Policy Period, or, in relation to a Claim first made against the Insured during the Discovery Period if applicable no later than expiry of the Discovery Period.

Claims and Investigations. (a) There are no existing nor, so far as the Sellers are aware, pending claims by or disputes with, any of the Employees and/or Consultants and/or any agency or temporary workers (whether previous, present or prospective) or any trade unions or employee representatives and so far as the Sellers are aware there are no circumstances which are likely to give rise to any such claims or disputes.
Claims and Investigations. There is no ongoing civil, criminal, regulatory or administrative action, claim, investigation or other proceeding or suit against or involving the Target Group relating to Environmental Law or any Environmental Permit, nor have any such proceedings taken place or been settled and there are no such proceedings pending or threatened.
