Co-operation, etc. The parties hereto agree that they will co-operate fully to do all such further acts and things and execute any further documents as may be necessary or desirable to give full effect to the arrangements contemplated by this Agreement or (subject to confirmation by the Rating Agencies that the then current ratings of the Rated Notes then outstanding or any rated debt instruments of a Funding Company (if applicable) then outstanding will not be downgraded, withdrawn or qualified as a result (it being acknowledged that none of the Rating Agencies has any obligation to provide such confirmation at any time and that, pursuant to Condition 16, the confirmation of one of the Rating Agencies may be sufficient for such purpose in respect of the Issuer Notes)) to provide for the accession of any Further Funding Company or Further Funding Security Trustee.
Co-operation, etc. (1) The parties will co-operate and use their commercially reasonable efforts to effect the Property Exchange Arrangements and the Arrangement in a manner that minimizes (or eliminates) the Taxes payable by BCE, Xxxx Canada, Aliant (including the amalgamated Aliant following the Aliant Reorganization and the Arrangement), Holdings LP, Wireline LP, Parent Trust and Holdings Trust as a result of the Property Exchange Arrangements and the Arrangement.
Co-operation, etc. The Parties acknowledge that each Shareholder has a legal interest in the Company and that the Company is owned and operated by the Shareholders for their co-operative benefit, and is independent of any ownership, control or influence outside the Shareholders. The Parties and the Company undertake to operate in such a way that they meet all of the conditions of the VAT Cost Sharing Exemption (as described in Part 2 of the Schedule). The Shareholders acknowledge that the Company may provide services to non-Shareholders which will not benefit from the VAT exemption and which may result in the Company becoming registrable for, and in respect of such services charging, VAT. The Parties acknowledge that there must at all times be at least two Shareholders of the CSG. Direct reimbursement The Parties agree that the direct reimbursement (3.7.1 above) will be a recharge of the all the direct costs incurred by the Company in relation to each individual Shareholder as well as a portion of the general overhead costs.

  • Co-operation 1. The Parties shall take all appropriate and necessary measures to ensure fulfilment of the obligations and objectives arising out of this programme agreement.

  • Interim Operations (a) The Company covenants and agrees as to itself and its Subsidiaries that, after the date hereof and prior to the Effective Time (unless Parent shall otherwise approve in writing (such approval not to be unreasonably withheld, delayed or conditioned)), and except as otherwise expressly permitted by this Agreement or as required by a Governmental Entity or applicable Laws, the business of it and its Subsidiaries shall be conducted in all material respects in the ordinary course and, to the extent consistent with the foregoing, the Company and its Subsidiaries shall use their respective commercially reasonable efforts to preserve their business organizations substantially intact, maintain satisfactory relationships with Governmental Entities, NERC, PJM, customers and suppliers having significant business dealings with them and keep available the services of their key employees; provided, however, that no action taken by the Company or its Subsidiaries with respect to matters specifically addressed by clauses (i)-(xx) of this Section 6.1(a) shall be deemed a breach of this sentence unless such action would constitute a breach of such other provision. In furtherance of the foregoing, from the date of this Agreement until the Effective Time, except (A) as otherwise expressly permitted by this Agreement, (B) as Parent may approve in writing (such approval not to be unreasonably withheld, delayed or conditioned), (C) as is required by applicable Law or any Governmental Entity or (D) as set forth in Section 6.1(a) of the Company Disclosure Letter, the Company will not and will not permit its Subsidiaries to:

  • Business Operations Company will provide all necessary equipment, personnel and other appurtenances necessary to conduct its operations. Company will conduct its business operations hereunder in a lawful, orderly and proper manner, considering the nature of such operations, so as not to unreasonably annoy, disturb, endanger or be offensive to others on the Airport. Company will provide all services under this Agreement on a fair and reasonable basis to all users of the Airport. Service will be prompt, courteous and efficient.

  • Operational Control Directing the operation of the Transmission Facilities Under ISO Operational Control to maintain these facilities in a reliable state, as defined by the Reliability Rules. The ISO shall approve operational decisions concerning these facilities, made by each Transmission Owner before the Transmission Owner implements those decisions. In accordance with ISO Procedures, the ISO shall direct each Transmission Owner to take certain actions to restore the system to the Normal State. Operational Control includes security monitoring, adjustment of generation and transmission resources, coordination and approval of changes in transmission status for maintenance, determination of changes in transmission status for reliability, coordination with other Control Areas, voltage reductions and Load Shedding, except that each Transmission Owner continues to physically operate and maintain its facilities.
