Commercial Contract. The Agreement will have the nature of a commercial contract between the Parties not falling under the scope of the Vienna Convention on the Law of Treaties. The Parties, in connection with this Agreement, unconditionally and irrevocably agree that the execution and performance of this Agreement by the Parties constitute a private and commercial act rather than a public or governmental act, and, that no immunity exists in respect of the Parties and their assets and no immunity can be claimed by it with respect to their assets, should any proceedings be brought against the Parties or their assets arising from or in connection with this Agreement.
Commercial Contract. (a) The Borrower shall perform and observe in all material respects all of its covenants and agreements contained in the Commercial Contract, shall use reasonable endeavours to prevent the termination of the Commercial Contract in accordance with the terms thereof, and shall take any and all action as may be reasonably necessary to promptly enforce its material rights and to collect any and all material sums due to it under the Commercial Contract. (b) The Borrower shall not, without the prior written consent of the Facility Agent, agree to any material amendment to the Commercial Contract or to the termination or abandonment of the Commercial Contract or to waive any material provisions of the Commercial Contract.
