Commercial License Fee. Subject to the terms of Section 2.9, for the first Commercial License obtained by Licensee hereunder, Licensee shall pay to BioWa an annual, nonrefundable, non-creditable commercial license fee of [***] (the “[***]Target Commercial License Fee”) and, as described in Section 2.2, [***].
Commercial License Fee. If FibroGen acquires a commercial license from Medarex pursuant to Section 3.1.2 above, FibroGen shall pay to Medarex a license fee of one million dollars ($1,000,000). The applicable license fee shall be paid to Medarex concurrently with FibroGen’s notice of its exercise of its option.

Unless this Agreement is earlier terminated, within thirty (30) days following Oncotelic’s delivery of an Evaluation Notice (as defined in Section 3.3) advising that it intends to pursue, or cause to be pursued, further development and commercialization of Licensed Products, Oncotelic shall, in connection therewith (and as a condition thereto), enter into a Stock Purchase Agreement in form and substance reasonably acceptable to Marina and Oncotelic, pursuant to which Marina will sell to Oncotelic shares of the common stock of Marina for an aggregate purchase price of $500,000, with the purchase price for each share of Marina common stock being the greater of $0.45 or the volume weighted average price of the Marina common stock for the thirty (30) trading days immediately preceding the date on which Oncotelic delivers the Evaluation Notice to Marina.
Commercial License Fee. If a Commercial Product reaches a First Commercial Sale in the US or in the EU, then ROCHE shall pay Conkwest [####] within [####] from receipt of a correct invoice. A commercial event payment in the US or EU shall be paid [####]a Commercial Product. [####]
Commercial License Fee. In consideration for the licenses to Sangamo Technology set forth in Section 2.1(c), Sigma shall pay Sangamo, within thirty (30) days after the Third Amendment Effective Date, a noncreditable, nonrefundable commercial license fee equal to fifteen million dollars ($15,000,000). In addition, Sigma shall pay an additional commercial license fee of five million dollars ($5,000,000) as set forth in Sections 7.19(a) and 7.20(a) (the “Additional Commercial License Fee”).”

Commercial License Fee. Unless this Agreement is earlier terminated, within thirty (30) days following Lipomedics’s delivery of an Evaluation Notice advising that it intends to pursue, or cause to be pursued, further development and commercialization of Licensed Products, Lipomedics shall, in connection therewith (and as a condition thereto), enter into a Stock Purchase Agreement in form and substance reasonably acceptable to Marina and Lipomedics, pursuant to which Marina will sell to Lipomedics shares of the common stock of Marina for an aggregate purchase price of $500,000, with the purchase price for each share of Marina common stock being the greater of $0.29 or the volume weighted average price of the Marina common stock for the thirty (30) trading days immediately preceding the date on which Lipomedics delivers the Evaluation Notice to Marina.
Commercial License Fee. Subject to the terms of Section 2.8, Licensee shall pay to BioWa a one-time, commercial license fee of [***] U.S. Dollars (US [***]) (the “Commercial License Fee”) by wire transfer (a) in accordance with Section 4.4.1(a), within [***] of Licensee’s receipt of notification from the Third Party Reviewer that the Target is available as an Available Target or (b) in accordance with Section 4.4.1(b), within [***] of Commercial License Notification by Licensee. The Commercial License Fee shall be creditable against the Milestone Payment for first submission of an IND only, and shall otherwise be non-creditable.
