Compensation of Board Members. Board Members shall not receive any compensation or other remuneration from the Company for their services to the Company as Board Members.

Nothing contained in this Agreement shall be construed to preclude a Board Member from serving the Company in any other capacity.

Nothing contained in this Agreement shall be construed to preclude any Director from serving the Company or any of its Affiliates in any other capacity and receiving compensation for such service.

Compensation of Board Members. As compensation for their services, the General Meeting may grant Board members an annual fixed sum of directors’ fees, which is recognised as an operating expense. The Board of Directors shall divide this sum among its members as it deems appropriate. The Chairman’s compensation is determined by the Board, in accordance with the provisions of Article L.225-37-2 of the French Commercial Code. The Board of Directors may grant exceptional compensation for special assignments or duties assigned to its members. Exceptional compensation is subject to the provisions of Article 20 hereafter.

Compensation of Board Members. Directors shall not receive any compensation for their services, but shall be entitled to be reimbursed for reasonable out-of-pocket expenses incurred in connection therewith, including all travel, lodging and meal expenses in accordance with the relevant Company policies as in effect from time to time.
