Compliance Records; Auditing Rights. Throughout the Term, and for a period of six (6) months thereafter, ChildPlus will have the right with a legitimate business reason, at its own expense, upon reasonable prior notice, periodically to inspect and audit Licensee’s use of the Services and Documentation for purposes of determining Licensee’s compliance with the terms and conditions herein. Licensee agrees to cooperate with ChildPlus in the performance of any such audit, and shall provide to ChildPlus such access to Licensee’s relevant records, data, information, personnel and/or facilities as ChildPlus may reasonably request for such limited purposes. Such inspection and/or audit shall be conducted in such a manner as to not unreasonably interfere with the regular business operations of Licensee, as well as to protect and maintain the integrity of Licensee’s Confidential Information that may be discovered during such audit and/or inspection.

Compliance Records; Auditing Rights. (a) Customer shall create and maintain complete and accurate records of all copies of the KZO Application and/or Documentation made by or on behalf of Customer, including the date such copies are made and the locations of Authorized Systems where such copies are installed. Customer shall promptly provide a copy of such records upon request by KZO. (b) Throughout the License Term of this Addendum, KZO will have the right, at its own expense, upon reasonable prior notice and subject to any security measures the Customer deems appropriate, periodically to inspect and audit Customer’s use of the KZO Application and Documentation for purposes of determining Customer’s compliance with the terms and conditions herein. As long as KZO employees have the required security clearances for the Customer's facility, Customer agrees to cooperate with KZO in the performance of any such audit, and shall provide to KZO such access to Customer’s relevant records, data, information, personnel and/or facilities as KZO may reasonably request for such limited purposes.

Licensee agrees to cooperate with Company in the performance of any such audit and shall provide to Company such access to Licensee’s relevant records, data, information, personnel and/or facilities as Company may reasonably request for such limited purposes.

Licensee shall promptly provide a copy of such records upon request by Ostrato. (b) Throughout the Term of this Agreement, Ostrato will have the right, at its own expense, upon reasonable prior notice, periodically to inspect and audit Licensee’s use of the Ostrato Software and Documentation for purposes of determining Licensee’s compliance with the terms and conditions herein. Licensee agrees to cooperate with Ostrato in the performance of any such audit, and shall provide to Ostrato such access to Licensee’s relevant records, data, information, personnel and/or facilities as Ostrato may reasonably request for such limited purposes. Such inspection and auditing rights shall extend throughout the Term and for a period of two (2) years after the termination of this Agreement.

Licensee agrees to cooperate with Licensor in the performance of any such audit, and shall provide to Licensor such access to Licensee’s relevant records, data, information, personnel and/or facilities as Licensor may reasonably request for such limited purposes.

Customer agrees to cooperate with Berkshire Grey in the performance of any such audit, and will provide to Berkshire Grey such access to Customer’s relevant records, data, information, personnel and/or facilities as Berkshire Grey may reasonably request for such limited purposes.

(b) Throughout the Subscription Term, Syntasa will have the right, at its own expense, upon reasonable prior notice (not to be less than two business days), periodically (but no more than once in any 12 month period) to inspect and audit Customer’s use of the Solutions for purposes of determining Customer’s compliance with the terms and conditions herein. Customer agrees to cooperate with Syntasa in the performance of any such audit, and shall provide to Syntasa such access to Customer’s relevant records, data, information, personnel and/or facilities as Syntasa may reasonably request for such limited purposes.
