Business Reason definition

Business Reason for the Company's termination of the Employee's Employment means any lawful reason other than Cause.
Business Reason has the meaning set forth in Section 3(c).
Business Reason means a legitimate reason related to the administration or operation of Landlord's business, and/or Landlord's financial condition or economic circumstances. Notwithstanding any provision of this Lease to the contrary, (i) in the event of termination of that certain Intergovernmental Agreement for the Establishment and Operation of the Loveland Fire Rescue Authority as a Separate Governmental Entity dated August 19, 2011 between the City of Loveland and the Loveland Rural Fire Protection District, including all subsequent amendments thereto (collectively, the "Establishing IGA"), this Lease shall automatically terminate as of the date of the termination of the Establishing IGA; and, (ii) in the event the governing body of the City of Loveland or the Loveland Rural Fire Protection District fails to appropriate in any year during the Lease Term its allocation payment required to be paid to the Authority under the Establishing IGA, this Lease shall terminate as of the date the allocation payment not appropriated otherwise would have been due and payable.

The Parties may elect to extend the Initial Term or Renewal Term upon such terms and conditions as may be agreed upon in writing and signed by the Parties at the time of any such extension. Notwithstanding any provision of this Lease to the contrary, (i) in the event of termination of that certain Intergovernmental Agreement for the Establishment and Operation of the Loveland Fire Rescue Authority as a Separate Governmental Entity dated August 19, 2011 between the City of Loveland and the Loveland Rural Fire Protection District, including all subsequent amendments thereto (collectively, the "Establishing IGA"), this Lease shall automatically terminate as of the date of the termination of the Establishing IGA; and, (ii) in the event the governing body of the City of Loveland or the Loveland Rural Fire Protection District fails to appropriate in any year during the Lease Term its allocation payment required to be paid to the Authority under the Establishing IGA, this Lease shall terminate as of the date the allocation payment not appropriated otherwise would have been due and payable.
Business Reason means a determination by a majority of the Board (with Intercap Directors abstaining) that the effect of the filing of a Prospectus: (A) would reasonably be expected to adversely affect a pending or proposed acquisition, merger, amalgamation, recapitalization, consolidation, reorganization, financing or similar transaction involving the Company or its subsidiaries that is material to the Company or any negotiations, discussions or pending proposals with respect thereto; or (B) would require the disclosure of material non-public information that the Company has a bona fide business purpose for preserving or not disclosing publicly in the good faith judgment of such Directors. (vii) if, such Demand Notice requests a public offering of Shares in the United States and, as of the date of the applicable Demand Notice and the expected date of the filing of the Registration Statement or a prospectus supplement under any existing Registration Statement, the Company is not eligible to register Shares with the SEC on Form F-10 pursuant to the MJDS or to have a Registration Statement become effective upon filing with the Commission pursuant to Rule 467(a), as promulgated by the SEC; or (viii) if the proposed Distribution of Qualifying Shares pursuant to the terms of such Demand Notice would reasonably be expected to result in the Company ceasing to be eligible to register Shares with the SEC on Form F-10 pursuant to the MJDS following the completion of the Distribution. (c) Any Demand Notice pursuant to Section 4.1(a) hereof shall: (i) specify the number of Shares that each Intercap Demanding Shareholder intends to Distribute; (ii) express the intention of the Intercap Demanding Shareholder to offer or cause the offering of such Shares; (iii) describe the nature or methods of the proposed offer and sale thereof and the jurisdictions in which such offer shall be made; (iv) contain the undertaking of the Intercap Demanding Shareholder to provide all such information as may be required in order to permit the Company to comply with all Applicable Securities Laws and Applicable U.S. Securities Laws, as applicable;

Coming from that term "business reasons" could cover a wide spectrum of scenarios. For example, an organization could stop doing business with customers due to (the business decision based on) long-overdue, pending payments from the customer/client.   • Valid Business Reason has the meaning ascribed to such term in Section 2.1(b).

  • Business Relation means any current or prospective client, customer, licensee, supplier, or other business relation of the Company Group, or any such relation that was a client, customer, licensee or other business relation within the prior six (6) month period, in each case, with whom Executive transacted business or whose identity became known to Executive in connection with Executive’s employment hereunder.
