Compliance with Applicable Laws and Contracts. Comply, and cause each Significant Subsidiary to comply, with the requirements of all applicable laws, rules or regulations, Governmental Approvals, and orders, writs, injunctions or decrees of any court or Governmental Authority, including, without limitation, Environmental Laws, if failure to comply with such requirements would have a Material Adverse Effect or an adverse effect on the binding nature, validity or enforceability of any Loan Document as an obligation of the Borrower.

Compliance with Applicable Laws and Contracts. 5.4 TTE shall comply in all material respects with the requirements of all applicable law and all obligations which, if contravened, could rise to a lien or any of TTE’s assets and all contracts to which it is bound, non-compliance with which would, singly or in the aggregate, have a material adverse effect upon its business or upon the ability of TTE to perform its obligations under any loan documents to which it is a party.

Compliance with Applicable Laws and Contracts. The Developer shall comply in all material respects with the requirements of all Applicable Laws applicable to Developer’s construction of the Development. In addition, the Developer shall comply in all material respects with all obligations, insurance policies and contracts to which it is a party and which, if contravened, could have a material adverse effect on the Developer’s ability to perform its obligations under this Agreement.

The Borrower shall comply in all material respects with its Constating Documents. The Borrower (a) shall comply in all material respects and not be in material breach or default under, the Opco Shareholders Agreement (for greater certainty, any breach or default that has or could reasonably be expected to have an adverse effect on the Lender shall be construed as a material breach or a material default, as applicable), and (b) shall comply and shall not be in material breach or default under, any other Contract (including the Subordinated Guarantees) to which the Borrower is party or by which the Borrower or any of its property or assets are bound, except for any such non-compliance, breach or default which could not reasonably be expected to have a Material Adverse Effect.
