Compliance with Laws and Charter Documents. Neither the Borrower nor any Subsidiary is, or as a result of performing any of its obligations under this Agreement will be, in violation of (a) any law, statute, rule, regulation or order of any Governmental Authority applicable to it or its properties or assets or (b) its certificate of limited partnership, certificate of incorporation, agreement of limited partnership, by-laws or any similar document.
Compliance with Laws and Charter Documents. Neither the Company nor any Subsidiary thereof is in violation of (a) any law, statute, rule, regulation or order of any Governmental Authority (including Environmental Laws) applicable to it or its properties or assets or (b) its certificate of incorpor ation, by-laws, governing partnership agreement or other organizational document, except for any such violation as would not, individually or in the aggregate, be material and adverse to the Company and its Subsidiaries taken as a whole.
Compliance with Laws and Charter Documents. (i) As a result of the Borrower's performing any of its obligations under the Credit Documents, neither the Borrower nor any of its Subsidiaries will be in violation of (a) any law, statute, rule, regulation or order of any Governmental Authority (including Environmental Laws) applicable to it or its properties or assets or (b) its certificate of incorporation or bylaws.
(ii) Neither the Borrower nor any of its Subsidiaries is in violation of (A) any law, statute, rule, regulation or order of any Governmental Authority (including Environmental Laws) applicable to it or its properties, except for any violations which could not reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect, or (B) its certificate of incorporation or bylaws.
(iii) Each of the Borrower and its Subsidiaries has all authorizations, consents, approvals, registrations, franchises, licenses and permits, with or from Governmental Authorities and other Persons as are necessary for it to own its properties and conduct its business as now conducted and the absence of which could reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect.
Compliance with Laws and Charter Documents. Neither the Company nor any Subsidiary thereof is, or as a result of performing any of its obligations under the Credit Documents will be, in violation of (a) any law, statute, rule, regulation or order of any Governmental Authority (including Environmental Laws) applicable to it or its properties or assets, (b) its certificate of incorporation, by-laws, governing partnership agreement or other organizational document or (c) judgments or agreements to which it is a party or by which its assets may be bound unless and to the extent that such violations, individually or in the aggregate, would not have a Material Adverse Effect.
Compliance with Laws and Charter Documents. Neither any Credit Party nor any Subsidiary of any Credit Party is (i) in violation of its charter or by-laws or (ii) in violation of any law, statute, rule, regulation, order, writ, injunction or decree (including, without limitation, any exchange control law or regulation) of any Governmental Authority applicable to any Credit Party or any Subsidiary of any Credit Party or any of their respective properties or assets, which violation under this clause (ii), individually or in the aggregate, could reasonably be anticipated to result in a Materially Adverse Effect.
Compliance with Laws and Charter Documents. Neither the Borrower nor any of its Subsidiaries is (i) in violation of its charter or by-laws or (ii) in violation of any law, statute, rule, regulation, order, writ, injunction or decree of any Governmental Authority applicable to any of them or any of their respective properties or assets, which violation under this clause (ii), individually or in the aggregate, could reasonably be expected to have a Materially Adverse Effect.
Compliance with Laws and Charter Documents. (a) None of the Consolidated Group Members is, or as a result of performing any of its obligations under the Loan Documents will be, in violation in any material respect of (i) any law, statute, rule, regulation or order of any Governmental Authority (including Environmental Laws) applicable to it or its material properties or assets or (ii) its certificate of incorporation, by-laws or any similar constitutive document.
(b) Each Consolidated Group Member has all necessary authorizations, consents, approvals, registrations, franchises, licenses and permits, with or from Governmental Authorities and other Persons for it to own its properties and conduct its business as currently conducted and contemplated, except to the extent failure to have the same could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

Compliance with Laws and Charter Documents. (i) None of the Borrower, any Member of the Guarantor Group or Xxxxxxx is, and as a result of performing any of their respective obligations under the Credit Documents, none will be, in violation of (a) any law, statute, rule, regulation or order of any Governmental Authority (including Environmental Laws) applicable to it or its properties or assets or (b) its certificate of incorporation, by-laws or any similar document except to the extent, with respect to any Member of the Guarantor Group, that any such violations, individually or in the aggregate, would not reasonably be expected to result in a Material Adverse Effect on such Member of the Guarantor Group.
(ii) Each of the Borrower and each Member of the Guarantor Group, has all authorizations, consents, approvals, registrations, franchises, licenses and permits, with or from Governmental Authorities and other Persons, as are necessary for it to own its properties and conduct its business as now conducted and the absence of which could reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect on any Member of the Guarantor Group.
Compliance with Laws and Charter Documents. The Company is not in violation of, or delinquent in respect to, any decree, order or arbitration award or law, statute or regulation of any governmental authority to which its properties, assets, personnel or business activities are subject, including laws, rules and regulations relating to the environment, occupational health and safety, employee benefits, wages, equal employment opportunity and race, religious, sex and age discrimination which, individually or in the aggregate, has had or would reasonably be expected to have a material adverse effect on the Company. The Company is not in violation of, and the execution and performance of this Agreement and the transactions contemplated hereby will not violate, the Company's certificate of incorporation, as amended, the Certificate of Designation, or the bylaws of the Company as in effect on the date hereof.
