Compliance with Laws and Governmental Requirements. Each Party shall be responsible for compliance with all Laws affecting its Business. Each Service Recipient shall be responsible for any use such Service Recipient may make of the Services to assist it in complying with applicable Laws. Each Service Provider shall comply with (a) all Laws applicable to the provision by it of the Services hereunder, and (b) the accounting and reporting requirements of any Governmental Entity having jurisdiction over it or any Party with respect to their respective activities related to such Service Provider’s performance of the Services.
Compliance with Laws and Governmental Requirements. Each Party shall be responsible for compliance with all Laws affecting its Business. Each Service Recipient shall be responsible for any use such Service Recipient may make of the Services to assist it in complying with applicable Laws. Each Service Provider shall comply with (i) all Laws applicable to the provision by it of the Services hereunder; and (ii) the accounting and reporting requirements of any Governmental Entity having jurisdiction over it or any member of its Group with respect to their respective activities related to such Service Provider’s performance of the Services, including accounting for related costs pursuant to FERC’s uniform system of accounts.
Compliance with Laws and Governmental Requirements. Notwithstanding anything to the contrary in this Agreement, Atlas shall comply (and cause each Affiliate or subcontractor providing any of the Pennsylvania Services to comply) with (i) all Laws applicable to the provision by it (or such Affiliate or subcontractor) of the Pennsylvania Services hereunder; and (ii) the accounting and reporting requirements of any Governmental Entity having jurisdiction over it or its Affiliates or subcontractors with respect to their respective activities related to Atlas’ or its Affiliates’ or subcontractors’ performance of the Pennsylvania Services.
Compliance with Laws and Governmental Requirements. Each Party shall be responsible for compliance with all applicable Laws, including, but not limited to any applicable privacy Laws. Furiex shall be responsible for any use it may make of the Services to assist it in complying with applicable Laws. PPD shall comply with all Laws applicable to the provision by it of the Services hereunder. Each Party shall comply with the accounting and reporting requirements of any Governmental Entity having jurisdiction over it with respect to its performance or receipt of the Services.
Compliance with Laws and Governmental Requirements. The Parties shall comply, and shall cause their Affiliates and their respective employees to comply, with all Applicable Laws and all third party intellectual property rights in the performance of this Agreement; provided that, except where compliance is a component of the applicable Services, Service Provider assumes no responsibility for compliance by Service Recipient with any Applicable Law applicable to Service Recipient, and Service Recipient shall be responsible for securing, and monitoring compliance with, any necessary governmental or regulatory permits, consents, or approvals necessary for receiving the Services; provided, further, that Service Recipient assumes no responsibility for compliance by Service Provider with any Applicable Law applicable to Service Provider, and Service Provider shall be responsible for securing, and monitoring compliance with, any necessary governmental or regulatory permits, consents, or approvals necessary for providing the Services.
Compliance with Laws and Governmental Requirements. Notwithstanding anything to the contrary in this Agreement, Atlas shall comply (and cause each Affiliate or subcontractor providing any of the Petro-Technical Services to comply) with (i) all Laws applicable to the provision by it (or such Affiliate or subcontractor) of the Petro-Technical Services hereunder; and (ii) the accounting and reporting requirements of any Governmental Entity having jurisdiction over it or its Affiliates or subcontractors with respect to their respective activities related to Atlas’ or its Affiliates’ or subcontractors’ performance of the Petro-Technical Services.
Compliance with Laws and Governmental Requirements. Tenant shall, at its sole cost and expense, obtain all governmental permits, approvals, licenses, and authorizations needed by Tenant to conduct its business upon the Premises, and shall maintain same during the Term. Landlord covenants and agrees to cooperate with Tenant, at Tenant's expense, in the obtaining of such permits, approvals, licenses, and authorizations. Tenant covenants and agrees that it will, at its sole cost and expense, take such actions as may be lawfully required by any public body having jurisdiction over the Premises in order to comply with such sanitary, zoning, and other similar requirements designed to protect the public, in effect during the Term, applicable to the Premises or the manner of Tenant's use and occupancy of the Premises or otherwise applicable to the Premises. Tenant shall, at Tenant's expense, make any alterations or repairs to the Premises that may be necessary to comply with any of the foregoing, subject to the applicable provisions of Article 9.
