Compliance with Prevailing Wage Regulations. ‌ The services to be provided under the License may be subject to prevailing wage rate payment as set forth in California Labor Code § 1771. The Licensee shall be solely responsible in determining whether prevailing wages apply under Labor Code § 1771. Accordingly, to the extent that any such services are subject to the prevailing wage rate payment requirements, Licensee shall and shall cause its Agents to comply with all applicable California Labor Code requirements pertaining topublic works,” including the payment of prevailing wages in connection with the services to be provided to the City hereunder (collectively, “Prevailing Wage Policies”). Within ten (10) business days following Licensee’s receipt of the City’s written request, Licensee shall make available during Licensee’s regular business hours for the City to inspect at Licensee’s corporate offices in Contra Costa County which Licensee shall designate, copies of, Licensee’s payroll records that pertain to this License and other proof of compliance with the Prevailing Wage Policies consistent with the requirements in California Labor Code § 1776, as may be amended or superseded. The City shall also have the right to copy such records, subject to the City’s written agreement that the City shall only disclose such records to the extent that the City is required under applicable Laws to make such records available for review by or disclosure to third parties. Licensee shall defend, indemnify and hold the City and Indemnified City Parties harmless from and against any and all present and future Claims, that arise from or in connection with Licensee’s obligation to comply with Prevailing Wage Policies and all Laws with respect to the installation, construction or other work in connection with this License, which includes without limitation any and all Claims that may be made by Licensee’s Agents or any other contractors, subcontractors or other third parties pursuant to California Labor Code §§ 1726 and 1781, as amended and added by California Senate Bill 966 (Xxxxxxx), and as may be amended or superseded in the future.
