Compliance with Restrictive Covenants, Etc. Borrower will not enter into, modify, waive in any material respect or release any Easements, restrictive covenants or other Permitted Encumbrances, or suffer, consent to or permit the foregoing, without Lender’s prior written consent, which consent may be granted or denied in Lender’s sole discretion.

Compliance with Restrictive Covenants, Etc. (a) Borrower will not modify, waive in any material respect or release any Easements, restrictive covenants or other Permitted Encumbrances, or suffer, consent to or permit the foregoing, without Lender's prior written consent, which consent may be granted or denied in Lender's sole discretion. Borrower will timely comply in all material respects with the terms of all Easements, restrictive covenants and all other Permitted Encumbrances. Borrower shall take such further actions as Lender may reasonably request from time to time with respect to such Easements, restrictive covenants or Permitted Encumbrances.
(b) Borrower shall observe and comply with any conditions and requirements necessary to preserve and extend any and all rights, privileges, franchises and concessions that are applicable to the Premises, the use and occupancy thereof, or the business conducted thereat, and will timely comply in all material respects with all regulations, rules, ordinances, statutes, orders and decrees of any Governmental Authority or court applicable to it and/or the Premises or any part thereof.
Compliance with Restrictive Covenants, Etc. Borrower will comply with all of the terms, conditions and provisions of the REA. Borrower will not amend, modify, supplement, waive in any material respect, cancel, terminate or release any Operating Agreement, easements, restrictive covenants or other Permitted Encumbrances, including, without limitation, the REA, or suffer, consent to or permit any of the foregoing, without Lender's prior written consent, which consent may be granted or denied in Lender's sole discretion.
Compliance with Restrictive Covenants, Etc. No Borrower shall modify, amend, supplement, waive or release in any material respect any (i) easements, (ii) covenants, restrictions or agreements of record relating to the construction, operation or use of the Property, (iii) or other Permitted Encumbrances, or suffer, consent to or permit the foregoing, without Lender’s prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed.
Compliance with Restrictive Covenants, Etc. (a) No Borrower Entity shall modify, waive in any material respect or release any Easements, restrictive covenants or other Approved Permitted Encumbrances, or suffer, consent to or permit the foregoing, without Lender's prior written consent, which consent may be granted or withheld in Lender's sole and absolute judgment. Borrower shall cause each Borrower Affiliate to timely comply in all material respects with the terms of all Easements, restrictive covenants and all other Approved Permitted Encumbrances.
(b) Borrower shall cause each Borrower Affiliate to observe and comply with any conditions and requirements necessary to preserve and extend any and all rights, privileges, franchises and concessions that are applicable to any of the Properties, the use and occupancy thereof, or the business conducted thereat, and shall timely comply in all material respects with all regulations, rules, ordinances, statutes, orders and decrees of any Governmental Authority or court applicable to any of them and/or any of the Properties or any part thereof.
(c) Borrower shall cause each Borrower Affiliate to cause the Properties to be maintained in a good and safe condition and repair and shall not remove, demolish or materially alter or suffer, consent to or permit to be removed, demolished or materially altered, the Improvements on any of the Properties except as permitted by this Agreement, without Lender's prior written consent.
Compliance with Restrictive Covenants, Etc. No Borrower will and no Borrower will permit any Owner to modify in any material respect, waive in any material respect or release any Easements, restrictive covenants or other Permitted Encumbrances, or suffer, consent to or permit the foregoing, without Mezzanine Lender's prior written consent, which consent may be granted or denied in Mezzanine Lender's sole discretion.

Unless required by a Governmental Authority pursuant to Legal Requirements, Borrower will not modify, waive in any material respect or release any easements, restrictive covenants or other Permitted Encumbrances, or suffer, consent to or permit the foregoing, without Lender’s prior written consent, which consent may be granted or denied in Lender’s reasonable discretion; provided, however, that Borrower shall have the right, without Lender’s prior written consent, but upon notice to Lender, to terminate the Easement Agreement recorded in Macomb County at Liber 3250, Page 426.
