Concerning the Mortgaged Vessels. (a) At all times operate each Mortgaged Vessel in compliance in all respects with all applicable governmental rules, regulations and requirements pertaining to such Mortgaged Vessel and in compliance in all respects with all rules, regulations and requirements of the applicable Classification Society and in compliance with all requirements of any applicable Vessel Mortgage and, if applicable, Deed of Covenants, except, in each case with respect to this Section 5.14(a), to the extent the failure to do so would not reasonably be expected to have a Material Adverse Effect. The Company shall cause each Subsidiary Guarantor and the Co-Borrower to keep each Mortgaged Vessel registered under the laws of a Permitted Flag Jurisdiction and furnish to the Administrative Agent copies of all renewals and extensions of such registration.
Concerning the Mortgaged Vessels. Each Mortgaged Vessel (other than those in lay-up) is operated in compliance with all applicable law, rules and regulations (except where the failure to so comply could not reasonably be expected to have a Material Adverse Effect). Each Mortgaged Vessel is owned by a Borrower or a Subsidiary Guarantor.
Concerning the Mortgaged Vessels. The name, registered owner, official number, and jurisdiction of registration and flag of each Mortgaged Vessel are set forth on Schedule XIV hereto. Each Mortgaged Vessel (other than those in lay-up) is operated in compliance with all applicable law, rules and regulations (except where the failure to so comply could not reasonably be expected to have a Material Adverse Effect). Each Mortgaged Vessel is owned by the Borrower or a Guarantor.
Concerning the Mortgaged Vessels. The name, registered owner, official number, and jurisdiction of registration and flag of each Mortgaged Vessel is set forth on Schedule 7.19 (as updated from time to time by the Borrower pursuant to Section 8.14 with respect to flag jurisdiction, and otherwise (with respect to name, registered owner, official number and jurisdiction of registration) upon advanced notice and in a manner than does not interfere with the Lenders’ Liens on the Collateral, provided that each applicable Credit Party shall take all steps requested by the Collateral Agent to preserve and protect the Liens created by the Security Documents on the Mortgaged Vessels). Each Mortgaged Vessel is and will be operated in material compliance with all applicable law, rules and regulations.
Concerning the Mortgaged Vessels. The name (after giving effect to the respective Vessel Acquisition), registered owner (which shall be a Guarantor after giving effect to such Vessel Acquisition), official number, and jurisdiction of registration and flag of each Mortgaged Vessel (after giving effect to such Vessel Acquisition) are set forth on Schedule III. At the time of the consummation of the respective Vessel Acquisition, and thereafter, each Mortgaged Vessel (other than those in lay-up) is operated in compliance with all applicable law, rules and regulations (except where the failure to so comply could not reasonably be expected to have a Material Adverse Effect).

The name (after giving effect to the Vessel Acquisition in the case of Sapphire), registered owner, official number, and jurisdiction of registration and flag of each Mortgaged Vessel (after giving effect to such Vessel Acquisition) are set forth on Schedule III. Each Mortgaged Vessel (other than those in lay-up) is operated in compliance with all applicable law, rules and regulations (except where the failure to so comply could not reasonably be expected to have a Material Adverse Effect). Each Mortgage Vessel is owned by the Borrower or a Subsidiaries Guarantor.
Concerning the Mortgaged Vessels. The Borrowers shall keep each Mortgaged Vessel owned by any of them registered under the laws of a Permitted Flag Jurisdiction and furnish to the Administrative Agent copies of all renewals and extensions of such registration.
Concerning the Mortgaged Vessels. The name (after giving effect to the Vessel Acquisitions in the case of the Construction Vessels), registered owner, official number, and jurisdiction of registration and flag of each Mortgaged Vessel (after giving effect to such Vessel Acquisition) are set forth on Schedule III. Each Mortgaged Vessel (other than those in lay-up) is operated in compliance with all applicable law, rules and regulations (except where the failure to so comply could not reasonably be expected to have a Material Adverse Effect). Each Mortgaged Vessel is owned by a Borrower or a Subsidiaries Guarantor.
Concerning the Mortgaged Vessels. The name, registered owner (which shall be a Subsidiary Guarantor), official number, and jurisdiction of registration and flag of each Mortgaged Vessel as of the Initial Borrowing Date are set forth on Schedule III. Each Mortgaged Vessel will be operated in material compliance with all applicable law, rules and regulations.
Concerning the Mortgaged Vessels. The name, registered owner (which shall be a Subsidiary Guarantor), official number, and jurisdiction of registration and flag (which shall be in an Acceptable Flag Jurisdiction) of each Mortgaged Vessel shall be set forth on Schedule XII, which Schedule shall be updated by written notice to the Administrative Agent and Collateral Agent prior to or concurrently with each Vessel Acquisition Borrowing Date to incorporate the additional Mortgaged Vessel(s). Each Mortgaged Vessel will be operated in compliance with all applicable law, rules and regulations, except such noncompliance as could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
