Condition and Operation of Improvements. All components of all material buildings, structures, fixtures and other improvements in, on or within the Real Property and Leased Properties are in reasonably good operating condition and repair for use by the relevant Group Member in its business.

All buildings and other improvements included within the Real Property (the "Improvements") are in good condition and repair and adequate to operate such facilities as currently used, and, to the Company's Knowledge, there are no facts or conditions affecting any of the Improvements which would, individually or in the aggregate, interfere in any significant respect with the current use, occupancy or operation thereof which interference would, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect on the Company. No Improvement or portion thereof is dependent for its access, operation or utility on any land, building or other improvement not included in the Real Property.

To the best of the Company's knowledge and belief, there are no facts or conditions affecting any of the Improvements and the Leased Real Property which would, individually or in the aggregate, interfere in any significant respect with the use, occupancy or operation thereof as currently used, occupied or operated or intended to be used, occupied or operated. To the best of the Company's knowledge and belief, there are no material structural deficiencies or latent defects affecting any Improvements. All water, gas, electrical, steam, compressed air, telecommunication, sanitary and storm sewage lines and systems and other similar systems serving the Real Property are installed and operating and are sufficient to enable the Real Property to continue to be used and operated in the manner currently being used and operated. Each such utility or other service is provided by a public or private utility or service company and enters the Owned Real Property from an adjacent public street or valid private easement owned by the supplier of such utility or other service. Each Improvement has direct access to a public street adjoining the Real Property on which such Improvement is situated over the driveways and accessways currently being used in connection with the use and operation of such Improvement and no existing accessway crosses or encroaches upon any property or property interest not owned by the Company. No Improvement or portion thereof is dependent for its access, operation or utility on any land, building or other improvement not included in the Owned Real Property.

All utilities and other similar systems serving the Leased Real Property are installed and operating and are sufficient to enable the Leased Real Property to continue to be used and operated in the manner currently being used and operated.

All buildings and all components of all buildings, structures and other improvements included within the Owned Real Property (the "IMPROVEMENTS"), including, without limitation, the roofs and structural elements thereof and the heating, ventilation, air conditioning, air pollution emission capture and abatement, plumbing, electrical, mechanical, sewer, waste water and paving and parking equipment systems and facilities included therein, are in good condition and repair and adequate to operate such facilities as currently used. There are no facts or conditions affecting any of the Improvements which would, individually or in the aggregate, interfere in any significant respect with the use, occupancy or operation thereof as currently used, occupied or operated or intended to be used, occupied or operated. To the Seller's knowledge, all components of all buildings, structures and other improvements included within the Xxxxx City Real Property (the "XXXXX CITY IMPROVEMENTS"), including but not limited to the roofs and structural elements thereof and the heating, ventilation, air conditioning, plumbing, electrical, mechanical, sewer, waste water, storm water, paving and parking equipment, systems and facilities included therein, are in good operating condition and repair, subject to continued repair and replacement in accordance with past practice. To the Seller's knowledge, all water, gas, electrical, steam, compressed air, telecommunication, sanitary and storm sewage lines and systems and other similar systems serving each Xxxxx City Real Property parcel are installed and operating and are sufficient to enable each such parcel to continue to be used and operated in the manner currently being used and operated, and any so-called hookup fees or other associated charges have been fully paid. To the Seller's knowledge, each such utility or other service is provided by a public or private utility or service company and enters the applicable Xxxxx City Real Property parcel from an adjacent public street or valid private easement owned by the supplier of such utility or other service. To the Seller's knowledge, each Xxxxx City Improvement has direct access to a public street adjoining the Xxxxx City Real Property on which such Xxxxx City Improvement is situated over the driveways and accessways currently being used in connection with the use and operation of such Xxxxx City Improvement, and no existing accessway, crosses or encroaches upon any property or property interest not owned or leased by the Seller. To the Seller's knowledge, no Xxxxx City Improvement or portion thereof is dependent for its access, operation or utility on any land, building or other improvement not included in the Xxxxx City Real Property.

All water, gas, electrical, steam, compressed air, telecommunication, sanitary and storm sewage lines and systems and other similar systems serving the Real Property are installed and operating and are sufficient to enable the Real Property to continue to be used and operated in the manner currently being used and operated, and any so-called hook-up fees or other associated charges have been fully paid, ordinary wear and tear excepted.
Condition and Operation of Improvements. To the Sellers' Knowledge, as to each parcel of Owned Real Property and as to each parcel of Leased Real Property: (i) all components of all buildings, structures and other improvements included upon or within such Owned Real Property or Leased Real Property (the "Improvements"), including the roofs and structural elements thereof and the heating, ventilation, air conditioning, air pollution emission capture and abatement, plumbing, electrical, mechanical, sewer, waste water and paving and parking equipment systems and facilities included therein, are in reasonably adequate condition to operate such facilities as currently used, occupied or operated, and there are no facts or conditions affecting any of the Improvements which would, individually or in the aggregate, interfere in any significant respect with the use, occupancy or operation thereof as currently used or proposed by the Sellers to be used, occupied or operated; (ii) all Improvements are in good working condition and repair, are covered by standard insurance policies, and comply with the rules and regulations of the FCC and all other applicable federal, state and local statutes, ordinances, rules and regulations, (iii) there are no structural deficiencies in any buildings located upon any Owned Real Property or Leased Real Property; and (iv) no Improvement or portion thereof is dependent for its access, operation or utility on any land, building or other improvement not included in any Owned Real Property or Leased Real Property.
