Notwithstanding Section 1.1, each Stockholder may withdraw the tender of its Subject Shares if, at any time prior to acceptance of such tender, the Company’s Board of Directors (the “Board”) effects a Change in the Company Recommendation in accordance with Section 6.2(b) of the Merger Agreement.

Presentations Candidates may be invited to present their responses to a panel convened by the Signatories. Presentations may be used by the Signatories to clarify responses, query methodologies and approaches proposed by the Candidate, determine organisational compatibility and may be considered as part of the evaluation scoring process. Tender Evaluation Criteria All information requested together with any relevant additional information that may be submitted in response to this tender will be taken into account in the final assessment. In assessing a response, the Signatories will apply a scoring system for both the qualitative and quantitative criteria, which consist of, but is not limited to the following: -‐ Suitability of proposal and understanding of brief; -‐ Expertise of key account personnel; -‐ Experience of Candidate in providing similar services to other clients; -‐ Price competitiveness. The Signatories reserve the right to: -‐ Reject any or all proposals without compensation; -‐ Accept any proposal irrespective of price; and -‐ Accept all or any part of a proposal.
